ORDINANCE NO. 2009-70 <br />INTRODUCED BY: Mayor Rinker and Council as a Whole <br />AN EMERGENCY ORDINANCE <br />ALTTHORIZING THE MAYOR <br />TO ENTER I11eTTT0 A MEMORANI)UM OF UNDERSTANDING <br />WITH CUYAHOGA COUNTY, OHIO, <br />FOR THE PURCHASE OF A <br />VOICE OVER IleTTERNET PROTOCOL ("VOIP") <br />PHONE SYSTEM FOR THE VILLAGE. <br />WBEREAS, the County and the Village desire to enter into an Agreement <br />regarding the basic terms and conditions upon which the County will provide to the <br />Village a Voice Over Internet Protocol ("VOIP") Phone System (hereinafter the "Project"); <br />and ' <br />WI3EREAS, the Project will consist of an extension ofthe Cuyahoga County, Ohio <br />VOIP phone system ("Phone System") to the Village and provide the Village the ability to <br />gain access to phone service and dial tone. The costs to operate the Phone System will be <br />the true and actual costs of the service as charged to the County and passed through to the <br />Village and will not contain any margin of profit. <br />? <br />NOW, THEREFORE, BE IT ORDAINED BY THE COUNCIL OF MAYFIELD <br />VILLAGE, OHIO, THAT: <br />SECTION 1. The Mayor is authorized and directed to enter into a Memorandum of <br />Understanding between Cuyahoga County, Ohio and Mayfield Village in a form <br />substantially similar to that as set forth in Exhibit "A" attached hereto and incorporated <br />herein by reference. <br />SECTION 2. The Council finds and determines that all formal actions of this <br />Council relating to the adoption of this Ordinance have been taken at open meetings of this <br />Council; and that deliberations of this Council and of its committees, resulting in such <br />formal action, took place in meetings open to the public, in compliance with all statutory <br />requirements including the requirements of Section 121.22 of the Ohio Revised Code. <br />SECTION 3. This Ordinance is hereby declared to be an emergency measure <br />immediately necessary for the health, safety and welfare of the residents of Mayfield <br />Village, Ohio. It shall, therefore, take effect immediately upon the passage by the
