<br />PURCHASE AGREEMENT <br />Parcel Number 2 <br />This AGREEMENT is made and entered into this day of May, 2003, between EDWARD R. <br />FALKNER, Trustee of the Edward R. Falkner Trust dated October 7, 1991, 18881 Shaker Blvd., Shaker <br />Heights, OH 44122 (hereinafter called "Seller") and MAYFIELD VILLAGE. (hereinafter called "Buyer"). <br />WHEREAS, the Buyer, Mayfield Village, is an Ohio Municipal corporation, located in the County <br />of Guyahoga, State of Ohio, and is fully authorized to enter into this Agreement; and <br />WHEREAS, Seller agrees to sell to Buyer and Buyer agrees to purchase the following described <br />vacant real estate, located in the County of Cuyahoga, Village of Mayfield, and State of Ohio: <br />Part of Permanent Parcel No. 831-013-005, also known as 710 S.O.M. Center Road and referred <br />to as Parcel 2 which shall be created pursuant to a lot split creating also Parcels 1, 3 and 4 all as <br />designated in the Site Sketch attached hereto as Exhibit "A". <br />See the Legal Description as set forth in Exhibit "B" attached hereto and incorporated <br />herein by reference. <br />The terms of the Agreement are as follows: <br />1. PURCHASE PRICE. The Seller agrees to sell and Buyer agrees to purchase the real estate <br />described as Parcel 2, as set forth above for the sum of One Hundred and Forty Eight Thousand Four <br />Hundred and Fifty Eight Dollars ($148,458.00). <br />Such purchase shall be contingent upon Village Council's approval which shall be obtained no <br />later than sixty (60) days from the execution of this Agreement. <br />2. CONDITIONS. This agreement shall be contingent on the execution of three additional <br />purchase agreements between the Seller and Buyer hereunder for land created by the lot split referred to <br />as Parcels 1, 3 and 4 which purchase agreements are attached hereto and incorporated herein as <br />Exhibits "E", "D" and "F". (There is no Exhibit C attached hereto). <br />3. THE PREMISES. The purchase price set forth above shall include all right, title and interest of <br />Seller in and to the real estate set forth above and referred to as Parcel 2 as designated on the Site <br />Sketch attached hereto as Exhibit "A". <br />4. POSSESSION. Buyer shall be entitled to take possession of said premises on the date <br />set for the closing of this matter on May 1, 2004, upon title transfer.
