Apr 17 ?3 01:19p Diemert & Associates (440)442-0825 p.9 <br />Agreement, the Seller, by written notice to Buyer, (a) may elect to terminate said <br />agreement, or (b) may pursue any and all of its legal or equi#able remedies. ff Seller shall <br />default in the performance of any of the ob{igations imposed on Seller by this Agreemenfi, <br />the Buyer may elect (a) to terminate this Agreement by written notice thereof to Seller, or <br />(b) to pursue any legal or equitable remedy. If the Buyer or Seller elect to ferminate <br />pursuant to this paragraph, the escrow agent and/or the Seller shall deliver any funds or <br />documents placed with them, as provided hereunder, and both parties shall be released <br />from any further obligations and liability except as provided above. <br />12, FACADE AND PILLARS. The Buyer intends to use its best efforts ta preserve <br />the facade and pillars of the residence substantially in the same condition and sfiyle as they <br />now exist for at least 5 years from the closing date herein. A photo, of the house's facade <br />and the piflars, is attached hereto as Exhibit "B" and both parties acknowledge that the <br />photo accuratefy represents the current condition and style of the facade and pillars as of <br />the execution date of this Agreement. Whether or not the Buyer has used its best efforts <br />to preserve the facade and pillars of the residence substantially in the same condition and <br />style as they now exist, shafl be determined in the sole and exclusive opinion of the Buyer. <br />13. NOTICES. Service of all demands, notices or other papers with respect to such <br />termination and retention of payments, or otherwise, may be made by registered mail at the <br />following address: Joseph W. Diemert, Jr., Director of Law, 1360 S.O.M. Center Road, <br />Cleveland, Ohio 44124, or at such bther address as Buyer will indicate in writing to Seller. <br />14. STATE LAW. This Purchase Agreement shalf be interpreted and governed in <br />accordance with the laws of the State of Ohio. <br />15. AMENDMENTS. This Purchase Agreement shall not be modified or amended <br />except by written instrument signed by all of the parties hereto. <br />6
