Cabievision/Mayfield Village Franchise Agreement 2000 <br />Page No. -3- <br />FRANCHISE AGREEMENT <br />THIS NON-EXCLUSIVE, REVOCABLE FRANCHISE AGREEMENT, made and <br />entered into this day of , 2000, by and between the Village of Mayfield, a <br />municipal corporation of the State of Ohio (hereinafter also referred to as "Grantor" or <br />"Village") and Telerama, Inc., a corporation conducting business at 3400 Lakeside Avenue, <br />Cleveland, Ohio 44114; whose ownership is indicated in Exhibit "A" hereto (hereinafter also <br />referred to as "Grantee"). <br />WHEREAS, the Village ,pursuant to its Charter and its Master Cable Television <br />Regulatory Ordinance found in Chapter 9~/S of its Codified Ordinances, is authorized to grant <br />and renew one (1) or more nonexclusive revocable franchises to operate, own, construct, <br />maintain and reconstruct a Cable Television System within the Village; and <br />WHEREAS, the Village after due evaluation of Grantee, and after public hearings <br />affording due process to consider the granting of the Franchise, has determined that it is in the <br />best 'interest of the Village and its residents to grant anon-exclusive, revocable Franchise with <br />Grantee. <br />NOW, THEREFORE, the Village hereby grants to Grantee anon-exclusive, revocable <br />cable television Franchise in accordance with the provisions of this Franchise Agreement <br />(hereinafter the "Franchise Agreement" or "Agreement") and the provisions contained in <br />Chapte~.5`rt~~~~t~e Codified Ordinances of the Village of Mayfield (hereinafter the "Codified <br />Ordinances"). <br />ARTICLE 1. GR~~1T OF FRAI~ICHISE <br />Section 1. Grant. <br />A' cable television Franchise is hereby granted'to G4~antee, subject to the terms and <br />conditions of this Franchise Agreement, and all other applicable Federal, state and local laws and <br />regulations. The Franchise provides Grantee with the authority, right and privilege to construct, <br />reconstruct, own, operate and maintain a Cable Television System and to provide cable service, <br />cable modem service, and any other service permitted by law within the streets and public ways <br />in the Village as it is now or may in the future be constituted and as detailed in Exhibit "F", <br />attached hereto and expressly made a part hereof by reference. <br />Section 2. Right of Grantor to Grant Franchise. <br />Grantee acknowledges and accepts the right of Grantor to issue a Franchise and Grantee <br />agrees it shall not now or at any time hereafter challenge any lawful exercise of this right in any <br />local, State or Federal court. This is not, however, a waiver of any constitutional or legal right or <br />privilege on the part of Grantee. . <br />M & M 1999 ~ Page 3 of 28 <br />
