ELECTRIC UTILITY EASEMENT
<br />KNOW ALL MEN BY THESE PRESENTS, that the VILLAGE OF MAYFIELD
<br />whose mailing is 6621 Wilson Mills Road, Mayfield Village, Ohio 44143 (hereinafter
<br />referred to as the "Grantor"), its heirs, successors, assigns, in consideration of the sum
<br />of One Dollar ($1.00) and other valuable consideration, does hereby give, grant,
<br />bargain, quit-claim and convey to FIRST ENERGY,
<br />(hereinafter referred to as the "Grantee"), its successors and assigns, an electric
<br />utility easement to install, construct, reconstruct, maintain, repair, replace, rebuild,
<br />operate, improve, expand as necessary, use, inspect, and remove electric lines thereto,
<br />located upon the following described premises, attached hereto as Exhibit A.
<br />An Electric Utili~r Easement Is Granted Subject To The Followina Covenants,
<br />Terms and Conditions To First Energy Which Shall Be Deemed To Have
<br />Accepted And Agreed To All Of The Said Covenants Terms And Conditions.
<br />1. The Grantor herein does hereby grant and convey to the Grantee and its
<br />successors and assigns an Electric Utility Easement for supplying electricity to various
<br />parcels, including that site upon which Progressive Auto Insurance currently does
<br />business.
<br />2. First Energy, its successors and assigns, and their agents, servants,
<br />representatives, and employees, agree to install, construct, reconstruct, maintain,
<br />repair, replace, rebuild, operate, improve, use and inspect said electrical lines and their
<br />necessary appurtenances thereto and shall not interfere with the safe and continuous
<br />operation of the Grantor on the above-described premises after construction, except for
<br />the purposes granted to said Grantee.
