<br />ELECTRIC UTILITY EASEMENT
<br />KNOW ALL MEN BY THESE PRESENTS, that the VILLAGE OF MAYFIELD
<br />whose mailing is 6621 Wilson Mills Road, Mayfield Village, Ohio 44143 (hereinafter
<br />referred to as the "Grantor"), its heirs, successors, assigns, in consideration of the sum
<br />of One Dollar ($1.00) and other valuable consideration, does hereby give, grant,
<br />bargain, quit-claim and convey to THE CLEVELAND ELECTRIC ILLUMINATING
<br />COMPANY, 130.0 East 9th Street, Suite 125, Cleveland, Ohio 44114 (hereinafter
<br />referred to as the "Grantee"), its successors and assigns, an electric utility easement to
<br />install, construct, reconstruct, maintain, repair, replace, rebuild, operate, improve,
<br />expand as necessary, use, inspect, and remove electric lines thereto, located upon the
<br />following described premises, attached hereto as Exhibit A.
<br />An Electric Utility Easement Is Granted Subject To The Following Covenants,
<br />Terms and Conditions To The Cleveland Electric Illuminating Company Which
<br />Shall Be Deemed To Have Accepted And Agreed To All Of The Said Covenants,
<br />Terms And Conditions.
<br />1. The Grantor herein does hereby grant and convey to the Grantee and its
<br />successors and assigns an Electric Utility Easement for supplying electricity to various
<br />parcels, including that site upon which Progressive Auto Insurance currently does
<br />business.
<br />2. The Cleveland Electric Illuminating Company, its successors and assigns, and
<br />their agents, servants, representatives, and employees, agree to install, construct,
<br />reconstruct, maintain, repair, replace, rebuild, operate, improve, use and inspect said
<br />electrical lines and their necessary appurtenances thereto and shall not interfere with
<br />the safe and continuous operation of the Grantor on the above-described premises after
<br />construction, except for the purposes granted to said Grantee.
