ii. the cost of examining title to the Property, the cost of <br />issuing the Title Commitment and one-half of the premium for the Title <br />Policy; <br />iii. one-half of the escrow fee; <br />iv. Sellers' pro rata share of all items to be prorated in escrow; <br />v. the cost of preparation of the Deed; <br />vi. any expenses in connection with discharging any Defects <br />in accordance with Section 5 above; <br />vii. all other fees and charges required to be paid by Seller <br />pursuant to this Agreement. <br />D. Buyer's Costs. Buyer shall pay or be charged with the following <br />costs and expenses: <br />the cost of recording the Deed; <br />one-half of the premium for the Title Policy; <br />iii. one-half of the escrow fee; <br />iv. the cost of any survey; <br />v. Buyer's pro rata share of all items to be prorated in escrow; <br />vi. all costs and expenses incurred in connection with Buyer's <br />financing, if any, including the filing of all documents necessary to <br />complete such financing; and <br />vii. all other fees and charges required to be paid by Buyer <br />pursuant to this Agreement. <br />E. - Prorations. The Escrow Agent shall prorate real estate taxes and <br />assessments, both general and special, as of the Closing Date on the basis of <br />the latest available tax duplicate. Should actual rates and valuations vary from <br />the rates and valuations used-for such proration, the parties shall readjust the <br />proration based on the actual rates and valuations and any overpayment shall <br />immediately be refunded to the party which has overpaid and any underpayment <br />immediately made by the party which has underpaid its portion of such taxes and <br />assessments, as the case may be, outside of escrow. <br />F. Utilities. Seller shall continue to pay all utilities, including but not <br />limited to, water, sewer, gas, electric, telephone and cable services, until delivery <br />of possession of the Property to Buyer. The parties shall cooperate in <br />transferring the utilities to Buyer as of the date of delivery of possession. <br />6 <br />
