(v) The applicable Sublessor shall be responsible for (i) the acts and omissions
<br />of all of its employees, contractors, architects, suppliers, materiahnen, subcontractors, engineers,
<br />agents, representatives, advisors and all other persons performing any of the Sublessor Work, and
<br />(ii) ensuring that all such Persons follow and comply with proper procedures and safety measures
<br />while performing Sublessor Work.,
<br />(vi) Prior to installing any equipment or making any modifications,
<br />enhancements or changes thereto (other than replacements of substantially identical items at
<br />substantially the same location, or replacement or installation of equipment located wholly within
<br />Sublessor's equipment shelter) Sublessor shall obtain TowerCo's written approval,. which approval
<br />shall not•be unreasonably withheld, conditioned or delayed, so long as such installations,
<br />modifications, enhancements or changes do not exceed the greater of the original wind load as of
<br />the Site Commencement Date plus 10% or the wind load of the Reserved Space on the Tower
<br />(assuming a "standard" twelve panel array, plus 10%, of detailed plans and specifications
<br />accurately describing the proposed work to be performed. TowerCo shall either approve or
<br />disapprove such plans and specifications in writing within ten (10) business days of'FowerCo's
<br />receipt of such plans and specifications. If TowerCo does not disapprove such plans and
<br />specifications within such ten (10) business day period, such plans and specifications shall be
<br />deemed approved by TowerCo.
<br />(vii) Each applicable Sublessor agrees to comply with the reasonable directions
<br />and requirements which TowerCo, in its good faith discretion, may from time to time establish in
<br />connection with the operation and management of the Site, provided that such directions. and
<br />requirements do not (i) unreasonably interfere with such Sublessor's ordinary course of business or
<br />operations, or (ii) derogate or diminish any rights of such Sublessor under this Agreement.
<br />14. DAMAGE TO THE SITE, TOWER OR THE IlViPROVEMENTS.
<br />(a) If the Tower and/or Improvements on a Site, or access to such Site, is damaged or
<br />destroyed by a casualty covered by the in~r~n_ce required to be carried by TowerCo, TowerCo shall .
<br />promptly commence appropriate repairs (to be diligently prosecuted to completion entirely at Tower~o's
<br />expense), and this Agreement, with respect to such Site, shall continue in full force and effect. If,
<br />however, the Tower and/or Improvements on a Site are damaged to a substantial extent (in excess of 50%
<br />of its replacement value) by a casualty not so covered by in~rance, TowerCo shall deliver written notice
<br />to the applicable Sublessor, within ten (10) days after the casualty, of TowerCo's election not to repair. If;
<br />as a result of any such casualty, the Reserved Space becomes totally or partially unusable by such
<br />Sublessor, the'applicable Site Maintenance Charge for such Site shall abate during the period of repair.
<br />(b) If TowerCo (a) undertakes the repair of the Towerand/or Improvements on a Site
<br />or of any access thereto but fails to complete such repair within one hundred twenty (120) days after the
<br />casualty, or(b) notifies the applicable Sublessor of TowerCo's intention not to repair the Tower and/or
<br />Improvements on a Site, or (c) fails to deliver to such Sublessor the written notice required under
<br />Section 14(a) such within ten (10) day period, then in addition to any rights, such Sublessor may have
<br />under this Agreement, at law or in equity, such Sublessor may immediately cancel this Agreement as to
<br />such Site by giving written notice of its election to cancel to TowerCo.
<br />(c) TowerCo agrees~that (if reasonably required) during any period of repair (or for the
<br />balance of the lease term if TowerCo elects not to repair the Towerand/or Improvements on a Site), the
<br />applicable Sublessor may use and/or so construct the Towerand/or Improvements and/or
<br />Communications Equipment on any portion of the Subleased Property which is equally suitable for such
<br />Sublessor's purposes, provided such space.is available.
