(b) Subject to the provision of Section 22(a), TowerCo shall execute in a timely <br />manner instruments that may be required to evidence this suboniination clause, in respect of the <br />Subleased Property of each Site. <br />(c) Any Space Subtenant subleases, and all supplements, amendments, modifications, <br />renewals, replacements and extensions thereof, shall unconditionally be and remain at all times a lien or <br />charge on the Subleased Property junior and subordinate to the applicable Sublessor's interest in the <br />Subleased Property. So long as any Space Subtenant is not in default in the performance of the terms, <br />provisions and conditions contained in its applicable sublease, such Space Subtenant's subleasehold <br />interest shall not be terminated by any termination of this Agreement by AirTouch; provided that no <br />Sublessor shall: (i) be liable for any damages or other relief attributable to any act or omission of <br />TowerCo, or any successor to TowerCo (other than AirTouch), under such Space Subtenant's sublease; <br />(ii) be liable for any damages or other relief attributable to any latent or patent defects in the construction <br />with respect to the property which isthe subject of such~Space Subtenant's sublease; (iii) be liable for any <br />consequential damages to such Space Subtenant attributable to any act or omission of TowerCo under <br />such Space Subtenant's sublease; (iv) be subject to any offsets or defense not specifically provided for in <br />such Space Subtenant's sublease and which such Space subtenan~ may have against TowerCo, or (v) be <br />bound by any prepayment by such Space Subtenant of more than one month's installment of rent or for <br />any security deposit not actually delivered to AirTouch. <br />23. ENVIRONMENTAL COVENANTS. <br />(a) TowerCo covenants and agrees that: (i) TowerCo shall not conduct or allow to be <br />conducted upon any Site aay business operations or activities, or employ or use a Site, to generate, . <br />manufacture, refine, transport, treat, store, handle, dispose, oi; transfer, produce, or process Hazardous <br />Substances; provided that TowerCo shall have the right to bring and keep and allow any Space Subtenant <br />to bring and keep on the Subleased Property of each Site in compliance with all applicable Environmental <br />Laws, batteries, generators and associated fuel tanks and other substances commonly used in the industry <br />necessary for the operation and maintenance of each Site;.(ii) TowerCo shall carry on its business and <br />operations at each Site incompliance in all material respects with, and will remain in compliance with, in <br />all material respects, all applicable Environmental Laws; (iii) TowerCo shall not create or pemut to be <br />created any Lien against any Site for the costs of any response, removal or remedial action or clean-up of <br />Hazardous Substances; (iv) TowerCo shall, to the extent TowerCo is legally obligated therefor, promptly <br />conduct and complete all investigations, studies, sampling and testing, and all remedial, removal, and <br />other actions necessary to cleanup and remove all Hazardous Substances on, from or affecting each Site <br />in accordance with all applicable Environmental Laws, in all material respects; and (v) TowerCo shall <br />promptly notrfy the applicable Sublessor in writing if TowerCo receives any notice, letter, citation, order, <br />warning, complaint, injury, claim or demand that: (w) TowerCo -has violated, or is about to violate, any <br />Environmental Law, (x) there has been a release or there is a threat of release, of Hazardous Substances at <br />or from the applicable Site, (y) TowerCo may be or is liable, in whole or in part, for the costs of cleaning <br />up, remediating, removing or responding to a release of Hazardous Substances, or (z) a Site is subject to a <br />Lien favor of any governmental entity for any liability, cost or damages under any Environmental Law. <br />(b) The applicable Sublessor covenants and agrees that: (i) such Sublessor shall not <br />conduct or allow to be conducted upon any Reserved Space of any Site any business operations or <br />activities, or employ or use a Reserved Space of any Site, to generate, manufachrre, refine, transport, <br />treat, store, handle, dispose oi; transfer, produce, or process Hazardous Substances; provided that such <br />- ~ Sublessor shall have the right to bring and keep on the Reserved Space of any Site in compliance with all <br />applicable Environmental Laws, batteries, generators and associated fuel tanks and other substances <br />commonly used in the industry necessary for the operation and maintenance of each Reserved Space of <br />any Site; (ii) such Sublessor shall carry on its business and operations on the Reserved Space of any Site <br />in compliance in all material respects with, and will remain in compliance with, in all material respects, <br />all annlirahle F.nvirnnmental Laws; (iii) such Sublessor shall not create or uermit to be created anv Lien <br />
