(as defined below) and the Other Entities (as def ned below) (AirTouch, the Wholly <br />Owned Enttties and the Other Entities being each referied to herein individually as a "Subs^," and <br />collectively as "Sublessors"), and ("TowerCo"), and for purposes of the ~ ~aT~nty set <br />forth in Section 26(e) hereof and the covenant of Section 26(h), AMERICAN TOWER CORPORATION, <br />a Delaware corporation ("Pareat") <br />In consideration of the premises and other good and valuable consideratioq the receipt and <br />sufficiency of which are hereby aclozowledged, the parties to this Agreement agree as follows: <br />1.A. DEFIlVI'TIONS. <br />For purposes of this Agreement, the following capitalized terms have the following <br />respective meanings: <br />"Agreement" means this Agreement, together with any and all Exhibits, Schedules and <br />attachments hereto, as the same may hereafter be modified and amended, including, without limitation, <br />pt~rant to Site Designation Supplements_ References to this Agreement in respect of a particular Site <br />shall include the Site Designation Supplement therefor; and referEnces to this Agreement in general and <br />as applied to all Sites shall include all Site Designation Supplements. <br />"Agreement to Sublease" means the Agreement to Sublease, between TowerCo and Sublessors. <br />"Affiliate" means, with respect to any Person, any other Person controlling such Person, or <br />controlled by or ender common control with •.. ~ ~~rson. where "~nntrnl" (anr~ itc c-nmilariPel mPanc the <br />
