of this Agreement, or any provisions of any other agreement entered into by and between the Grantor <br />and/or the Director of the Grantor and the Grantee, or upon just cause, the Grantor may: <br />(a) Terminate the Agreement after providing the Grantee with written notice, in accordance <br />with the notice provisions of this Agreement, (the "Notice"), of its failure to perform <br />satisfactorily any requirement of this Agreement. The Notice shall provide the Grantee with <br />a thirty (30) day period to cure any and all defaults under this Agreement. During the thirty <br />day cure period, the Grantee shall incur only those obligations or expenditures in furtherance <br />of the Project which are pre-approvedby the Grantor, and which aze necessary to enable the <br />Grantee to achieve compliance as set forth in the Notice; or <br />(b) Immediately terminate the Agreement. <br />21. Effects of Termination Within sixty (60) days after termination of this Agreement, the <br />Grantee shall provide the Grantor with a Final Closeout Report setting forth the number of full time <br />employees hired and/or retained by the company or companies that have benefitted from this grant <br />of funds before the Agreement was terminated, the total expenditure of the Funds by the Grantee and <br />the status of the Project at the time of termination. In addition, the Grantee shall surrender all <br />reports, documents, and other materials assembled and prepared pursuant to this Agreement which <br />shall become the property of the Grantor. Upon review of the Closeout Report, the Grantor shall <br />determine whether or not the Grantee shall.be required to return any portion of the Funds. This <br />decision will be within the sole discretion of the Grantor on behalf of the State of Ohio. In no event <br />shall the Grantee be required to return an amount in excess of the total Funds granted under this <br />Agreement. Grounds for termination include, but are not limited to, outstanding liabilities and/or <br />the falsification of information. <br />22. Forbearance Not a Waiver. No act of forbeazance or failure to insist on the prompt <br />performance by the Grantee of its obligations under this Agreement, either express or implied, shall <br />be construed as a waiver by the Grantor of any of its rights hereunder. <br />23. Conflict of Interest. No personnel of the Grantee, any subcontractor of the Grantee or <br />public official, who exercises any functions or responsibilities in connection with the review or <br />approval of the work completed under this Agreement shall, prior to the completion of said work, <br />voluntarily or involuntarily acquire any personal interest, direct or indirect, which is incompatible <br />or in conflict with the discharge or fulfillment of his functions or responsibilities with respect to the <br />completion of the work contemplated under this Agreement. Any such person who, prior to or after <br />the execution of this Agreement, acquires any personal interest, involuntarily or voluntarily, shall <br />immediately disclose his interest to the Grantor in writing. Thereafter, he shall not participate in any <br />action affecting the work under this Agreement unless the Grantor determines that, in light of the <br />personal interest disclosed, his participation in any such action would not be contrary. to the public <br />interest. <br />24. Indemnification To the extent permitted by law, the Grantee agrees to hold the Grantor <br />harmless from any and all liabilities or claims caused by or resulting from Grantee's performance <br />of the obligations or activities set forth in this Agreement.
