Flrst Amendment <br />to <br />Site License Agreement <br />Between <br />Office of Information Technology <br />Multi-Agency Radio Communications System <br />And <br />Mayfield Village <br />This Firsf Amendment to the Site License Agreement (the "First Amendment") is made <br />and entered into this day of , 2014, by and between the <br />state of Ohio, acting by and through the Department of Administrative Services, Office of <br />Information Technology, Multi-Agency Radio Communications System Program Office <br />("MARCS "), having an office located at 4200 Surface Road, Columbus, Ohio 43228 (the <br />"Licensee") and Mayfield Village (the "Licensor") an Ohio Governmental entity, having its <br />principal place of business located at 6622 Wilson Mills Road, Mayfield Village, Ohio 44143. <br />WHEREAS, Licensee and Licensor entered into a Site License Agreement on or about <br />July 5, 2011; and <br />WHEREAS, the Licensor, as the owner of a tower and building, provided a site license to <br />Licensee to access the tower and building for the installation and location of certain equipment <br />described in the Site License Agreement, identified on Exhibit "B", to be located on a portion of <br />Licensor's property; and <br />WHEREAS, at this time it has become necessary to -further address the shared <br />maintenance of certain Equipment being jointly used by Licensee and Licensor and to update the <br />Equipment list to include certain air handling equipment that has been installed, upgrading the <br />former air handling equipment; and <br />WHEREAS, this First Amendment is also necessary to acknowledge that the Site License <br />Agreement has been automatically renewed for an additional two (2) year term through June 30, <br />2015. <br />WHEREFORE, Licensee and Licensor desire to amend the Site License Agreement as <br />more fully set forth below. <br />EXti1BIT <br />?
