REIMBURSEMENT & ACCESS AGREEMENT <br />This Reimbursement Agreement is entered into on this day of October, 2015 <br />between the MAYFIELD CITY SCHOOL DISTRICT ("District"), whose tax mailing address is <br />1101 SOM Center Road, Mayfield Heights, Ohio, and MAYFIELD VILLAGE, Ohio <br />_ _ <br />-- <br />- ("Village"), an Ohio Muricipal Corporation, whose -tax maihrig address -is -6622. Wilson Mills <br />- - ----- - ----Road; -Mayfield. V-i_llage,-Ohio-44143. The-District and the Village _are-collectively-refer-red-to-as - ------ - - - - ---- <br />the "Parties'~__------ _ _ - <br />RECITALS <br />WHEREAS, on September 8, 2015, the Village entered into a contract with Seitz <br />Builders, Inc. ("Seitz") titled "AIA Document A101-2007" ("Contract"), a copy of which is <br />attached and incorporated by reference as Exhibit "A," for the performance of certain work in <br />connection with the project known as the Mayfield Village Community Room Project, including <br />the demolition and construction of the Mayfield Village Community Room and other <br />improvements on certain real property owned and utilized by the Village. <br />WHEREAS, Exhibit B to the Contract provides that, in the event of unforeseen <br />conditions encountered during the performance of the ~ Contract, the Village and Seitz will <br />determine cost on a case-by-case basis consistent with industry standards, and that "unit prices" <br />as an alternate are eliminated from the Contract. <br />WHEREAS, the Contract contemplates an alternate to the Contract, "Alternate #1 - <br />MCES Site Improvements Located on Center Elementary .School Site," for certain site <br />improvements to be made on the real property owned by the District at the Mayf eld Center <br />Elementary School site, including all related labor, materials, equipment and services required to <br />complete such work. <br />WHEREAS, a change order, Change Order 001, dated September 24, 2015, a copy of <br />which is attached and incorporated by reference as Exhibit "B," has been issued adding Alternate <br />#1 to the Contract, thereby increasing the total cost of the Contract by approximately $75,000.00 <br />to be paid by the Village. <br />WHEREAS, the District authorizes access to its real property for the completion of <br />Alternate #1, and desires to repay the Village in full for the cost of Alternate #l, understanding <br />that the Village would not otherwise agree to the issuance of Change Order 001 and payment to <br />Seitz for Alternate #1. <br />NOW, THEREFORE, in consideration of the performance and observance of the <br />conditions hereinafter contained and other good and valuable consideration, the District and <br />Village agree as follows: <br />
