This Agreement maybe modified only by a writing signed by both Parties. <br />Neither Contractor nor Village may assign its rights or delegate its duties under this <br />Agreement unless both Parties agree to do so in writing. <br />All notices required or permitted in connection with this Agreement shall be delivered to <br />the Parties' addresses listed above by certified mail, return receipt requested. Unless otherwise <br />specified herein, all notices shall be effective when received. Any party may change their <br />address for notices by providing the same in writing to the other party. <br />The failure of either the Village or Contractor to exercise any of its rights under this <br />Agreement shall not constitute a waiver of such rights with respect to any future occurrence or <br />breach of this Agreement. <br />This Agreement shall be governed by the laws of the State of Ohio, without reference to <br />conflict of law rules or principles. All services provided pursuant to this Agreement shall be <br />performed in accordance with applicable laws, rules and regulations. Venue for any dispute <br />pertaining to or arising out of this Agreement shall lie exclusively in the Village of the Village of <br />Mayfield, Cuyahoga County, Ohio. <br />This Agreement constitutes the entire agreement of the Parties. If any part of this <br />Agreement shall be deemed unenforceable for any reason, the remaining parts of the Agreement <br />shall nevertheless be binding upon and inure to the benefit of the Parties. <br />This Agreement maybe executed in any number of counterparts or duplicate originals, <br />but shall not be binding upon any party hereto unless and until executed and accepted by all <br />Parties. When properly executed and accepted, this Agreement shall be binding upon and inure <br />the benefit of Contractor and the Village, their respective heirs, successors and assigns. <br />-Remainder of page intentionally left blank - <br />
