PURCHASE AGREEMENT This PURCHASE AGREEMENT is made and entered into on this day of, 2017, between Elaine Underwood ("Seller") of 570 S.O.M. Center Road, Mayfield Village, Ohio and the Village of Mayfield, Ohio, ("Buyer") an Ohio municipal corporation located at 6622 Wilson Mills Road, Mayfield Village, Ohio 44143. Authorization to enter into this Agreement was ratified by Buyer in Ordinance 2017-10 which became effective On April 17, 2017 (See Exhibit A, attached). WHEREAS, SELLER agrees to sell to BUYER and BUYER agrees to purchase the following described real estate, with any appurtenances, located in the County of Cuyahoga, Village of Mayfield, and State of Ohio: Permanent Parcel No. 831-11-014. 1. PURCHASE PRICE, EARNEST MONEY'. AND CLOSING DATE. The SELLER agrees to sell and the BUYER agrees to purchase the real estate set forth above for the sum of Two Hundred and Twenty-Five Thousand Dollars ($225,000.00), which will be payable in full on the date set for Closing of this matter; that being ("Closing"). BUYER shall deposit Two Thousand Five Hundred Dollars ($2,500.00) earnest money in an escrow account to be set up with Chicago Title Company within seven (7) days of execution of this Agreement (the "Earnest Money Deposit"). The Earnest Money Deposit shall be applied to the Purchase Price and shall be refundable only if closing does not occur because of SELLER' S inability to satisfy the conditions set forth in this Agreement or because of BUYER'S dissatisfaction with the results of its due diligence. 2. THE PREMISES. The purchase price of the premises and personal property shall include: the premises, the building and improvements therein, all fixtures, specifically but not limited to all electrical, heating, plumbing and bathroom fixtures, all light bulbs, landscaping, 570 S.O.M. Center Road, Mayfield Village, Ohio 44143 EXHIBIT A
