7. 1l~IARKETABLE TITLE. SELLER shall convey to BUYER marketable title at <br />the close of escrow, free of all encumbrances, covenants, and restrictions except for such utility <br />easements and rights of way of record. The title guaranty referenced in Section 10 of this <br />Agreement shall be in a form reasonably acceptable to BUYER, and shall guarantee good and <br />marketable title to the Property, without any exception for: (i) facts or matters that would be <br />disclosed by a survey, (ii) unfiled mechanic's, laborers' or inaterialmen's liens, or (iii) any other <br />of the general exceptions except any encumbrances specifically permitted and agreed to by <br />Buyer in writing. Should BUYER desire to purchase title insurance in lieu of the title <br />guarantee, BUYER shall be responsible for the additional cost therefore . <br />8. AS IS. BUYER hereby acknowledges that it has examined the property and <br />accepts it in an "as is" condition, and there are no representations or warranties made by either <br />party other than what is contained in this document. BUYER acknowledges receipt of the Real <br />Property Disclosure Form as the only representation, or statements whatsoever concerning the <br />property, including without limitation its 'use or condition, other than as written in this Purchase <br />Agreement, or any attached addendum. Any representations herein shall survive the filing of <br />the deed for record. No modification of this Purchase Agreement may be made unless in <br />writing and signed by both parties. BUYER assumes full responsibility for any Certificate of <br />Inspection at the time of sale ("Point of Sale Inspection") deficiencies. All documents and funds and/or financial <br />commitments for funds necessary to complete this transaction shall be placed in escrow with <br />in sufficient time to permit transfer of title on the date set <br />for Closing.
