COUNTY OF CUYAHOGA <br />Regional Healthcare Contract <br />THIS CONTRACT is effective January 1, 2017, by and between COUNTY OF CUYAHOGA, <br />OHIO, a body corporate and politic and a political subdivision of the State of Ohio organized <br />and existing under the Charter of Cuyahoga County effective January 1, 2010, as same may have <br />been amended, modified, and supplemented to the date hereof (hereinafter referred to as the <br />"County"), and Mayfield Village, Ohio, a chartered political subdivision of the State of Ohio <br />(hereinafter referred to as "Village"). <br />In consideration of the mutual covenant contained herein, the County and Village agree as <br />follows: <br />ARTICLE 1 <br />General Terms <br />1.1 Scope of Services. Parties shall perform the services as described in Exhibit A. <br />ARTICLE 2 <br />Contract Term and Termination. <br />2.1 Term of Contract. This Contract shall be for the period commencing on January 1, 2017 <br />to December 31, 2017 unless terminated at an earlier date in accordance with the provisions of <br />this Contract. <br />2.2 Renewal Option. The County may in its sole discretion offer new rates, fees, risk <br />surcharges and/or plans by November 1 of each year. The parties can mutually agree to renew <br />the contract for an additional year if done so in writing by the anniversary date of the contract. <br />2.3 Termination. This Contract may be terminated upon the occurrence of any of the <br />following: <br />1. Expiration of the Term of Contract or mutual agreement of the parties; or <br />2. For Convenience. The Parties shall have the right to terminate the Contract <br />at any time during the term of the Contract, or any extension thereof, within <br />ninety (90) calendar days advance written notice to the other party. <br />ARTICLE 3 <br />Compliance with law. <br />3.1 Compliance with law in the course of performance. The Parties agree to comply with, all <br />Federal, State, County, and municipal laws, ordinances, resolutions, and policies applicable to <br />the work to be done under this Contract including, but not limited to, Ohio Revised Code Section <br />Page 1 of 9 <br />
