<br />DEVELOPMENT AGREEMENT <br />This DEVELOPM T AG EEMENT ("Development Agreement") is made and entered <br />into this ,? day of ? , 2018, by and between MAYFIELD <br />VILLAGE, OHIO, an Ohio Municipal Corporation, having a mailing address of 6622 Wilson <br />Mills Road, Mayfield Village, Ohio 44143 ("Village") and ARTIS SENIOR LIVING OF <br />MAYFIELD, LLC, a Delaware Limited Liability Company, having a mailing address of 1651 <br />Old Meadow Road, Suite 100, McLean, VA 22102 ("ARTIS"). <br />RECITALS: <br />WI3EREAS, ARTIS, is or will be upon commencement- of the project, the equitable <br />owner of approximately 5.81 acres of land located in Mayfield Village, Cuyahoga County, Ohio <br />(the "Property") and which is more specifically depicted in Exhibit "A" attached hereto and <br />incorporated herein by reference, and known as Permanent Parcel Numbers 831-05-015 and 831- <br />05-007; <br />WHEREAS, ARTIS has received a"Use" variance for and proposes to develop and <br />operate a memory care assisted living facility on the Property hereinafter referred to as the <br />"Development"; <br />WHEREAS, the Property is zoned partly Office-Laboratory and partly Single Family <br />Residential but has been approved for a lawful "Use" variance and other variances pursuant to <br />the Charter of Mayfield Village, for development and use of the property as a memory care <br />assisted living facility; <br />WHEREAS, the Property is also subject to a certain Journalization of Settlement <br />Agreement in the Court of Common Pleas of Cuyahoga County, Ohio, Probate Division (the <br />"Court"), Case No. 2005 ADV 0102032 consolidated with Case No. CV 05-566681, recorded <br />among the land records of Cuyahoga County, Ohio as instrument number 200605090031, and as <br />modified by the Court's Order on October 10, 2013, which Settlement Agreement as so modified <br />will hereinafter be referred to as the "Settlement", a copy of which is attached hereto as Exhibit <br />«B,,; <br />WHEREAS, pursuant to the Settlement, any development of the Property, among other <br />items must comply with the following provisions: <br />a. PPN 831-05-015 and 831-05-007 shall comply with the then current zoning; <br />b. Any structure(s) built on the Property must have compatible architecture with <br />the Governor's Village Development; <br />c. There shall be no access to SOM Center Rd. through or over PPN <br />831-05-007 or any other adjoining or adjacent properties on SOM; and <br />d. PPN 831-05-007 shall remain "green" undeveloped land. <br />X/ <br />;
