AIVIENDMENT TO REGIONAL HEALTHCARE CONTRACT by and between CUYAHOGA COUNTY, OHIO and MAYFIELD YILLAGE TEIIS AMENDMENT (the "Amendment") is made and entered into effective as ofthe ls' day of January, 2018 (the "Effective Date"), by and between Cuyahoga County, Ohio a body corporate and politic and a political subdivision ofthe State of Ohio organized and existing under the Gharter of Cuyahoga County effective January 1, 2010, as same may have been amended, modified, and supplemented to the effective date hereof (the "Counry") and Mayfield Village C°city°5). WHEREAS, the County and City entered into a Contract commencing January 1, 2017 (the "Original Contract") to provide healthcare; and WHEREAS, the Parties now desire to amend the Original Contract. NOW, THEREFORE, in consideration of mutual promises contained herein and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the Original Contract is amended as follows: 1. This Amendment amends the Original Contract and, except as specifically amended hereby, the Original Contract shall remain in full force and effect. The Original Contract, together with this Amendment are herein collectively referred to as the "Contract." In the event of a conflict between this Amendment and the Original Contract, as amended, the terms of this Amendment wil] prevail. 2. Section 2.1 of the Original Contract is amended to extend the Term through December 31, 2018. Section F of Exhibit A of the Original Contract is amended and replaced to read as fo(lows: City shall pay all fees, surcharges, rates, etc, on an as billed basis within 10 days of an invoice and such funds are noi subject to being refunded by the County and the County shall use such funds to pay its costs, pay for stop loss insurance, establish a pool, build up a reserve, and pay for other items related to health benefits.
