E. The GRA?NTEE agrees that they .will fully cooperate with the State.Equal
<br />Opportunity Goordinator, with any official or agency of the State or Federal
<br />Govemment which seeks to eliminate unlawFul employment discrimination, and with
<br />a!I other Stite and Federal effortS to assure equal employment practices under this
<br />. Agreement, and said GRANTEE shall comply promptly with all requests and
<br />directions from the state of Ohio or any of its officials and agencies in this regard,
<br />both before and during perFormance. .
<br />F. Pursuant to federal guidelines issued under the authority of Section 504 of the
<br />Rehabilitation Act of 1973, Public Law 93-112, as amended, and Department of
<br />ln4erior Regulations as set au# in 43 CFR 17, Subpart B; the GRANTEE agrees that .
<br />no qualified handicapped person shall, on the basis of handicap, be excluded from
<br />participation in, be denied the benefit of, or otherwise be subjected to discrimination
<br />under any program or activity funded through this Agreement.
<br />In the event of the GRANTEE'S noncompiiance with the nondiscriminakion clawses
<br />of this contract, this cpntract may be canceled, terminated, or suspended in whole or --
<br />in part and the GRANTEE may be ineligible for further state contracts, and other
<br />such sanctions may be imposed and remedies instituted as othervuise provided by .
<br />law. G.. GRANTEE affirmatively represents and warrants to the STATE that it is not subject
<br />to a finding far recovery under R.C. 9124, or that it has taken'appropriate remedial
<br />steps required under R.C. 9.24, or otherwise qualifies under that section. GRANTEE
<br />agrees that if this representation and warranty is deemed to be false, the Agreement
<br />shall be void eb initio as between the parties to this Agresment, and any funds paid
<br />by STATB hereunder shalt be immediately repaid to the STATE, or an action for
<br />recovery may be immediately commenced by the STATE for recovery of said funds.
<br />16. To tha extent permitted by law, the GRANTEE shall indemnify, protect, and save harmless
<br />the STATE, its agents, and employees from any and against any and all claims, actions,
<br />damages, liability, and expense in connection with and arising from activities associated
<br />with this Agreemerrt. For political subdivisions #he.state of Ohio is self-insured for the
<br />indemnif{cation of its officers and employees in the aggregate amount of one million
<br />dotlars per accurrence in accordance with Section 9.87 of the Ohio Revised Code. Each
<br />party to this Agreernent must seek its own legal representation and bear its own costs,
<br />attorney fees and expenses, in any litigation that may arise fram the performance of this
<br />Agreement. Et is specifically understaad and agreed that neither party to this Agreement
<br />indemnifies the other. Nothing in this Agreement shall be construed to be a waiver of
<br />either the sovereign immunity of the state of Ohia, recreational use immunity if applicable,
<br />or the immunity of any of its empioyees or agents for any purpose. In no event shall fhe
<br />State be liable for indirect, consequential, incidental special, liquidated, or punitive ,
<br />damages or lost profits even if it has been advised of the possibilify of such loss or
<br />damage.
<br />17. Compliance with Laws. The GRANTEE agrees to comply with all applicable federal, stete,
<br />and local laws in the conduct of the vuork hereunder. GRANTEE and its employees are
<br />not employees of the State with regard to the application of the Fair Labor Standards Act,
<br />Federal Insurance Contribution Act, Social Security Act, Federal Unemployment Tax Act,
<br />Internal Revenue Code, and state revenue and tax iaws. GRANTEE accepts #ull
<br />responsibifity for payment of any and alf taxes, insurance premiums, or payroli deductions
<br />required for all employees engaged by GRANTEE in the perFormance of the work
<br />authorized by this Agreement, including without limitation, unemployment compensa#ion,
<br />workers' compensation, and all health care, income tax, social security, and Medicare'
<br />deductions. The State is exempt from federal, state, and local taxes and shall not be liable
