ADDENDUM TO AGREEMENT THIS ADDENDUM is to tlie Agreement entered into on October 21, 2015, by and Uetween Mayfield Village, au Olvo mtwicipal corporatiou, aud the Village of Gates Mills, au Oliio muuicipal coiporatiou. VVHEREAS, the existing Agreeuient betweeu the parties covers t}ie teim of Januuy 1, 2016 tluottgjl Deceuiber 31, 2020; atid WHEREAS, the paaties have reviewed the ntunber of "nuis" to Gates Mills, as defiued iu the Agieement, aud agxeed that a modificatiou to such Agreemeut «Till serve the spv-it and intent of tlie seivice Ueing provided Uy Mayfield N'illage to Gates Mills, and will provide a just reconciliatiou of the costs iuciured and fees paid pursuant to the Agreement; aud WHEREAS, Secrion 3(A) of the existiug Agreement places an aunual maxuutuu chaige that caii Ue made by Mayf'ield Vi4lage to Gates Mills, wlucli hauslates to 140 iluis that cau be charged to Gates Mills regardless of the uumber of nuis provided. Sectiou 4 of the existiug Agr.eenzeut provides for Gates Mills to receive a credit on all charges made to the exteut of the net collectious tFiat Mayfield Village receives ptusuaut to its agreemeiit with Life Force Maiiagement, Iuc.: aud WHEREAS, the parties have agreed that Nlayfield Village cau nutigate theu costs for nuis to Gates Mills beyond 140 per yeu, Uy allowiug Mayfield Village to retain all stuus collected by Life Force Mauagemeut, Iuc. for such excess iluls. NOW. THEREFORE, it is agreed betweeu the pa.2-ties as follows: Section 1. That Section 4 of the Agxeement entered Uetween the paities on OctoUer 21, 2415, is hereUy auYended to read as follows: 4} Mayfield Village, tluaugh its agreement with Life Force, shall bilt for ambulauce services provided to Gates Niills residents and for amUiilauce seivices provided witl7ui Gates Mills to nou-Gates Mills resideuts. All fimds will come to Ivlayf'ield Village iuider the Life Force Agreeiueut and no actual fiuids will Ue delivered to Gates Mills. Nlayfield Village shall issue a credit to Gates Mills for monies owed reflectiug paymeuts received by Mayfield Village from Life Force. The credit issued to Gates Mills by Mayfield Uillage will be net of auy aduiuustrative fee paid by Mayfield Village to Life Force for seivices reudered tmder the Billing SeFVices Agreement for collectiou ou Gates Mills nuis. Notwithstandiug the foregoing, effective for caleudar year 2017 aud after, collections tuider the Life Force Agreemeut for all i2tus, as defined iu Section 3(A) of the existing Ag,reemeut, iu excess of 140 per year ("eYCess nuis") shall be retaiued by Mayfield Village as compIete compeusarion for the excess ruus. {02566041-2}
