RESOLUTION NO. 2024-55 <br />INTRODUCED BY: Mayor Bodnar <br />AN EMERGENCY RESOLUTION <br />AUTHORIZING MAYFIELD VILLAGE TO EXPEND AN AMOUNT NOT TO EXCEED <br />$26,664.00 TO E.R.F. ELECTRIC LLC FOR THE VILLAGE'S CONTRIBUTION FOR <br />THE PURCHASE OF A NEW UNINTERRUPTIBLE POWER SOURCE ("UPS") <br />WHEREAS, on or about July 5, 2011, the Village and Department of Administrative <br />Services, Office of Information Technology, Multi -Agency Radio Communications System <br />Program Office ("MARCS") entered into a Site License Agreement for MARCS' use of the <br />communications tower located at the Village's Fire Station; and <br />WHEREAS, the Site License Agreement was subsequently amended by the First <br />Amendment to address certain equipment on the tower and building used by MARCS and the <br />Village, including the UPS to provide that annual maintenance costs be split evenly between <br />MARCS and the Village; and <br />WHEREAS, furthermore, the First Amendment provided, "At such time as the UPS system <br />is required to be repaired or replaced in its entirety, MARCS shall contract for the repair or <br />replacement and Licensee and Licensor agree to split the cost of such repair or replacement with <br />each paying fifty percent (50%) of the expense. MARCS shall cause the vendor performing the <br />repair or replacement to invoice the Licensee and Licensor in accordance with this provision." ; <br />and <br />WHEREAS, MARCS has caused its vendor E.R.F. Electric LLC to invoice the Village for <br />50% of the cost of the UPS system; and <br />WHEREAS, it is in the best interest of the Village and its residents and in accordance with <br />the provisions of the First Amendment to pay for 50% of the cost of the UPS system. <br />BE IT RESOLVED BY THE COUNCIL OF MAYFIELD VILLAGE, OHIO, THAT: <br />SECTION 1. Village Council authorizes an expenditure in a total amount not to exceed <br />$26,664.00 to E.R.F. Electric LLC for the Village's 50% share of the cost to replace the UPS <br />system, a copy of the invoice is attached hereto and incorporated herein as Exhibit "A". <br />SECTION 2. The Council finds and determines that all formal actions of this Council <br />relating to the adoption of this Resolution have been taken at open meetings of this Council; and <br />that deliberations of this Council, and of its committees, resulting in such formal action, took place <br />in meetings open to the public, in compliance with all statutory requirements including <br />requirements of Section 121.22 of the Ohio Revised Code. <br />
