The Executive Director will take all reasonable actions necessary to coordinate, formulate and <br />implement desired programs and services for older adults. A current job description will be on <br />file in the Mayor's office of each member community. <br />9. This Agreement shall be in full force and effect for a period of two (2) years, from the day <br />and year first above written, and shall automatically renew on an annual basis thereafter, <br />provided, however, that any party hereto may terminate its obligations under this Agreement <br />with six (6) months written notice to all other member communities to this Agreement. The COG <br />shall review the terms of this Agreement on an annual basis. <br />10. The Community Partnership on Aging is and shall be the successor to the Tri-City <br />Consortium on Aging and shall stand in the stead of such Consortium. <br />11. No part of the net earnings of the Community Partnership on Aging shall inure to the <br />benefit of or be distributable to its members, directors, officers, or other private persons, except <br />that the Community Partnership on Aging shall be authorized and empowered to pay reasonable <br />compensation for services rendered and to make payments and distributions in furtherance of <br />the purposes described herein. No substantial part of the activities of the Community Partnership <br />on Aging shall be the carrying on of propaganda, or otherwise attempting to influence legislation, <br />and the Community Partnership on Aging shall not participate in, or intervene in (including the <br />publishing or distribution of statements) any political campaign on behalf of or in opposition to <br />any candidate for public office. Notwithstanding any other provision of this agreement, the <br />Community Partnership on Aging shall not carry on any other activities not permitted to be <br />carried on (a) by an organization exempt from federal income tax under Section 501(c)(3) of the <br />Code, or the corresponding section of any future federal tax code, or (b) by an organization, <br />contributions to which are deductible under section 170(c)(2) of the Code, or the corresponding <br />section of any future federal tax code. <br />12. Upon dissolution of the Community Partnership on Aging, and after paying or making <br />provision for all liabilities of the same, any remaining assets shall be distributed for one or more <br />exempt purposes within the meaning of Section 501(c) (3) of the Internal Revenue Code, or the <br />corresponding section of any future federal tax code (the "Code"), or shall be distributed to the <br />local governments served by the Community Partnership on Aging at the time of its dissolution. <br />Any such assets not so disposed of shall be disposed of by a court of common pleas of the county <br />in which the principal office of the Community Partnership on Aging is then located, to one or <br />more local governments served by the Community Partnership on Aging at the time of its <br />dissolution, for a public purpose, or to one or more organizations that are organized and operated <br />exclusively for tax-exempt purposes within the meaning of Section 501(c)(3) of the Code. <br />REMAINDER OF PAGE INTENTIONALLY LEFT BLANK; SIGNATURE PAGES AND <br />AUTHORIZING ACTIONS TO FOLLOW <br />Community Partnership on Aging: 2024 COG Agreement Page 3 of 9 <br />4855-9157-6574, v. 1 <br />
