RESOLUTION N0. 87- 27 INTRODUCED BY: Mayor Carmen & Council as a Whole A RESOLUTION GRANTING APPROVAL OF MAYFIELD VILLAGE FOR THE TRANSFER OF CONTROL OF ITS CABLE TELEVISION FRANCHISEE, TELERAMA, INC. DBA VIACOM CABLEVISION OF CLEVELAND, TO NATIONAL AMUSEMENTS, INC. AND DECLARING AN EMERGENCY. WHEREAS, the Council of Mayfield Village, Ohio, has previously adopted Resolution No. 86-63 approving the transfer of control of its cable television franchisee, Telerama, Inc., dba Viacom Cablevision of Cleveland ("Viacom") to Viacom Cablevision of Cleveland, Inc.; and WHEREAS, Viacom has now advised the municipality that it intends to merge with a subsidiary of National Amusements, Inc, as more fully explained in a written communication dated March 13, 1987; and WHEREAS, Viacom will be the surviving corporation of this merger and has agreed to assume and be bound by all applicable cable television franchise terms and conditions in Mayfield Village; now, therefore, BE IT RESOLVED BY THE COUNCIL OF MAYFIELD VILLAGE, OHIO, THAT: Section 1. The Mayor and Council of Mayfield Village, Ohio, hereby grant their approval to permit the merger of Viacom with National Amusements, Inc. as set forth in the written communication from Viacom dated March 13, 1987. Section 2. That the Council finds and determines that all formal actions of this Council relating to the adoption of this Resolution have been taken at open meetings of this Council; and that deliberations of this Council and of its committees, resulting in such formal action, took place in meetings open to the public, in compliance with all statutory requirements including the requirements of Section 121.22 of the Ohio Revised Code. Section 3. This Resolution is hereby declared to be an emergency measure necessary for the immediate preservation of the health, safety and welfare of the residents of Mayfield Village for the reason that the authorization contained herein is necessary to permit the subject merger activity to commence.
