RESOLUTION N0. 87- 27 <br />INTRODUCED BY: Mayor Carmen & Council as a Whole <br />A RESOLUTION GRANTING APPROVAL OF MAYFIELD VILLAGE <br />FOR THE TRANSFER OF CONTROL OF ITS CABLE <br />TELEVISION FRANCHISEE, TELERAMA, INC. DBA VIACOM <br />CABLEVISION OF CLEVELAND, TO NATIONAL AMUSEMENTS, <br />INC. AND DECLARING AN EMERGENCY. <br />WHEREAS, the Council of Mayfield Village, Ohio, has <br />previously adopted Resolution No. 86-63 approving the transfer of <br />control of its cable television franchisee, Telerama, Inc., dba Viacom <br />Cablevision of Cleveland ("Viacom") to Viacom Cablevision of <br />Cleveland, Inc.; and <br />WHEREAS, Viacom has now advised the municipality that it <br />intends to merge with a subsidiary of National Amusements, Inc, as <br />more fully explained in a written communication dated March 13, 1987; <br />and <br />WHEREAS, Viacom will be the surviving corporation of this <br />merger and has agreed to assume and be bound by all applicable cable <br />television franchise terms and conditions in Mayfield Village; now, <br />therefore, <br />BE IT RESOLVED BY THE COUNCIL OF MAYFIELD VILLAGE, OHIO, THAT: <br />Section 1. The Mayor and Council of Mayfield Village, <br />Ohio, hereby grant their approval to permit the merger of Viacom with <br />National Amusements, Inc. as set forth in the written communication <br />from Viacom dated March 13, 1987. <br />Section 2. That the Council finds and determines that all <br />formal actions of this Council relating to the adoption of this <br />Resolution have been taken at open meetings of this Council; and that <br />deliberations of this Council and of its committees, resulting in such <br />formal action, took place in meetings open to the public, in <br />compliance with all statutory requirements including the requirements <br />of Section 121.22 of the Ohio Revised Code. <br />Section 3. This Resolution is hereby declared to be an <br />emergency measure necessary for the immediate preservation of the <br />health, safety and welfare of the residents of Mayfield Village for <br />the reason that the authorization contained herein is necessary to <br />permit the subject merger activity to commence. It shall therefore <br />take effect immediately upon passage by the affirmative vote of not <br />less than four (4) members elected to Council and approval by the <br />
