RESOLUTION N.O.2008-28 <br />INTRODUCED BY: Mayor Rinker and Council as a Whole <br />AN EMERGENCY RESOLUTION <br />AUTHORIZING CONSULTANT, DAVH) MILLER, <br />IN ACCORDANCE WITH THE LAWS OF THE <br />STATE OF OHIO, CHARTER AND CODIFIED <br />ORDINANCES OF HAYFIELD VILLAGE, OHIO, TO <br />CONDUCT CERTAIN FINANCIAL TRANSACTIONS WITH <br />COMPUTERSHARE INVESTOR SERVICES REGARDING <br />SHARES HELD BY THE VILLAGE UNDER ACCOUNT <br />NUMBER 00000305901 <br />WHEREAS, at this time, the Village maintains shares in a company known as <br />Wellpoint, Inc.; and <br />WHEREAS, the transfer agent and holder of those shares, Computershare Investor <br />Services, has requested a certified resolution naming the officer(s) authorized to conduct <br />financial transactions on behalf of the Village. <br />NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF HAYFIELD <br />VILLAGE, OHIO, THAT: <br />SECTION 1. It is hereby and herein certified that David Miller, as a Village <br />consultant, in accordance with the laws of the State of Ohio and the Village's Charter and <br />Codified Ordinance, is authorized to conduct financial transactions on behalf of the <br />Village, including a request to replace a lost stock certificate and place shares in book <br />entry form. <br />SECTION 2. The Council finds and determines that all formal actions of the <br />Council relating to the adoption of this Resolution have been taken at open meetings of <br />this Council; and that deliberations of this Council and of its committees, resulting in <br />such formal action, took place in meetings open to the public in compliance with all <br />statutory requirements including the requirements of Section 121.22 of the Ohio Revised <br />Code. <br />SECTION 3. This Resolution is hereby declared to be an emergency measure <br />necessary for the immediate preservation of the health, safety and welfare of the residents <br />of Mayfield Village. It shall, therefore, take effect immediately upon passage by the <br />
