? <br />RESOLUTION NO. 2018-17 <br />INTRODUCED BY: Mayor Bodnar and Council as a Whole <br />AN EMERGENCY RESOLUTION <br />AUTHORIZING AND DIRECTING THE MAYOlt AND PRESIDENT OF COUNCIL TO <br />ENTER INTO AN ASSIGNMENT AND ASSUMPTION AGREEMENT FOR THE <br />ECONOMIC DEVELOPMENT INCENTIVE GRANT AGREEMENT WITH <br />WIRELESS ENVIRONMENT, LLC <br />WHEREAS, the promotion of economic development, including the attraction of <br />businesses to the Village, has been and continues to be a significant goal of the Village; and <br />WHEREAS, to accomplish this goal the Village and the Mayfield Community <br />Improvement Corporation ("MCIC") have created an Economic Development Incentive Program <br />("Program") through which the Village awards economic development incentive grants to <br />designated companies in the Village; and <br />WHEREAS, Wireless Environment, LLC entered into an Economic Development <br />Incentive Agreement dated May 17, 2016 (the "Incentive Agreement"), with Mayfield Village, <br />Ohio, and MCIC; and <br />WHEREAS, pursuant to Section VII of the Incentive Agreement, it may be assigned, <br />with the express written approval of the Village, to an entity purchasing substantially all of the <br />assets of the Company where said entity purchasing continues the Company's same operations in <br />the same location; and <br />WHEREAS, Ring Inc. acquired substantially all of the assets of Wireless Environment, <br />LLC, effective November 1, 2017, and continues its business operations at 600 Beta Drive, <br />Mayfield Village, Ohio 44143; and <br />WHEREAS, the Village of Mayfield wishes to approve the assignment of the Incentive <br />Agreement to Ring Inc. and to authorize the Mayor and Council President to execute the <br />Assignment and Assumption Agreement in the form attached; and <br />WHEREAS the Council deems it necessary and in the best interest to the health safety <br />and welfare of all Village residents to enter into agreement with MCIC, Wireless Environment, <br />LLC and Ring Inc. in order to assign the Incentive Agreement to Ring Inc. <br />BE IT RBSOLVED BY THE COUNCIL OF MAYFIELD VILLAGE, OHIO, THAT: <br />SECTION 1. The Council of Mayfield Village finds and determines that it is in the best <br />interest on the Village to assign the Incentive Agreement to Ring Inc., and authorizes the Mayor <br />and President of Council to execute the Assignment and Assumption Agreement in the form <br />attached.
