coverage to indemnify and protect against any and all damages, injuries, <br />losses, claims, demands and suits, which may arise by reason of the use of <br />said easement by Grantee, its successors, assigns, licensees, guests, <br />invitees, agents, or employees. <br />PERMANENT MAINTENANCE EASEMENT <br />The Grantee has the perpetual right to enter upon and use said permanent <br />easement area for the maintenance of the traffic control equipment as <br />described in Exhibit A. <br />2. Such use of the easement area defined in Exhibit A shall be limited to the <br />maintenance of the underground traffic control equipment for the traffic <br />signal located at Brookpark Road (SR 17) and North Olmsted Towne <br />Center adjoining the Grantor's property boundary. <br />Grantor does hereby covenant with the said Grantee that at and until the sealing of these <br />presents, Grantor is well seized of the above described Premises and has a good and <br />indefeasible estate in FEE SIMPLE and has good right to bargain and grant the same in <br />manner and form as above written, subject, however, to any and all other easements and <br />restrictions of record. <br />IN WITNESS WHEREOF, Grantor has executed this easement as of the day and <br />year first above written. <br />Signed and acknowledged <br />GRANTOR <br />NORCAR COMPANY, LLC. <br />By: Carnegie Management and <br />Develo ent Corporation <br />Rustom R.
