CITY OF NORTH OLMSTED RESOLUTION NO. 2005 -140 BY: Mayor Thomas E. O'Grady A RESOLUTION AUTHORIZING THE MAYOR TO ENTER INTO AN AGREEMENT WITH LK HEATING & COOLING, INC. TO FURNISH AND INSTALL HVAC EQUIPMENT FOR THE CITY ADMINISTRATIVE BUILDING AND DECLARING AN EMERGENCY WHEREAS, the Director of Public Service has solicited quotes for the purchase of HVAC equipment and installation services at City Hall and, after reviewing said quotes, has recommended that the City enter into a contract with LK Heating & Cooling as the lowest and best provider; and WHEREAS, due to the nature of the equipment and services being acquired and the contract amount, it is not legally necessary that this contract be either competitively bid in accordance with the provisions of the City Charter or subject to the City's formal RFP process; and WHEREAS, it is the desire of this Council to authorize the Mayor to enter into an Agreement with LK Heating & Cooling, Inc. for the purchase of HVAC equipment and installation services in the total amount of Fourteen Thousand, Nine Hundred Sixty-Five ($14,965.00) Dollars; NOW THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF NORTH OLMSTED, CUYAHOGA COUNTY, AND STATE OF OHIO: SECTION 1: That the Mayor be and he hereby is authorized to enter into an Agreement with LK Heating & Cooling, Inc. in the total amount of Fourteen Thousand, Nine Hundred and Sixty -Five ($14,965.00) Dollars, in a form of Agreement deemed sufficient by the Director of Law, based upon the Proposal attached as Exhibit A, with such additional terms or conditions as are not substantially adverse to the City and which are approved by the Director of Law. The character of any such terms or conditions as not being substantially adverse to the City shall be evidenced conclusively by the execution of the Agreement by the Mayor and the approval of the Agreement by the Director of Law. SECTION 2: That this Council declares that sufficient funds have been provided for the expenditures relating to the aforesaid Agreement in the amount of Fourteen Thousand, Nine Hundred Sixty-Five ($14,965.00) Dollars, and hereby authorizes the expenditure of said fund provided by and limited to the appropriation thereof. SECTION 3: That this Resolution is hereby declared to be an emergency measure immediately necessary for the preservation of the public health, safety and welfare and for the further reason that it is necessary that this legislation go into effect immediately in order to replace the failing HVAC system at City Hall; and further provided it receives the affirmative vote of two - thirds of all members of Council, it shall take effect and be in force immediately upon its passage and approval by the Mayor.
