CITY OF NORTH OLMSTED <br />RESOLUTION NO. 2005 -140 <br />BY: Mayor Thomas E. O'Grady <br />A RESOLUTION AUTHORIZING THE MAYOR TO ENTER INTO AN <br />AGREEMENT WITH LK HEATING & COOLING, INC. TO FURNISH AND <br />INSTALL HVAC EQUIPMENT FOR THE CITY ADMINISTRATIVE BUILDING <br />AND DECLARING AN EMERGENCY <br />WHEREAS, the Director of Public Service has solicited quotes for the purchase of HVAC <br />equipment and installation services at City Hall and, after reviewing said quotes, has recommended that the <br />City enter into a contract with LK Heating & Cooling as the lowest and best provider; and <br />WHEREAS, due to the nature of the equipment and services being acquired and the contract <br />amount, it is not legally necessary that this contract be either competitively bid in accordance with the <br />provisions of the City Charter or subject to the City's formal RFP process; and <br />WHEREAS, it is the desire of this Council to authorize the Mayor to enter into an Agreement with <br />LK Heating & Cooling, Inc. for the purchase of HVAC equipment and installation services in the total <br />amount of Fourteen Thousand, Nine Hundred Sixty-Five ($14,965.00) Dollars; <br />NOW THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF NORTH <br />OLMSTED, CUYAHOGA COUNTY, AND STATE OF OHIO: <br />SECTION 1: That the Mayor be and he hereby is authorized to enter into an Agreement with LK <br />Heating & Cooling, Inc. in the total amount of Fourteen Thousand, Nine Hundred and Sixty -Five <br />($14,965.00) Dollars, in a form of Agreement deemed sufficient by the Director of Law, based upon the <br />Proposal attached as Exhibit A, with such additional terms or conditions as are not substantially adverse to <br />the City and which are approved by the Director of Law. The character of any such terms or conditions as <br />not being substantially adverse to the City shall be evidenced conclusively by the execution of the <br />Agreement by the Mayor and the approval of the Agreement by the Director of Law. <br />SECTION 2: That this Council declares that sufficient funds have been provided for the <br />expenditures relating to the aforesaid Agreement in the amount of Fourteen Thousand, Nine Hundred <br />Sixty-Five ($14,965.00) Dollars, and hereby authorizes the expenditure of said fund provided by and <br />limited to the appropriation thereof. <br />SECTION 3: That this Resolution is hereby declared to be an emergency measure immediately <br />necessary for the preservation of the public health, safety and welfare and for the further reason that it is <br />necessary that this legislation go into effect immediately in order to replace the failing HVAC system at <br />City Hall; and further provided it receives the affirmative vote of two - thirds of all members of Council, it <br />shall take effect and be in force immediately upon its passage and approval by the Mayor. <br />PASSED: J " J a0 ,�j�' First Reading: l� CA 0J <br />Second Reading: •u-n .0 c . <br />ATTT a <br />B RBARA L.
