authorizing the Director of Law to retain the services of Outside Council, and the Mayor to enter <br />into a contract and subsequently an amended contract with Outside Counsel; and <br />WHEREAS, the Council of the City of North Olmsted, on , 2005, <br />adopted Ordinance No. 2005 -_, authorizing a second amendment to the contract with Outside <br />Counsel; and <br />WHEREAS, said contract was approved by the Board of Control of the City of North <br />Olmsted, on February 24, 2004; <br />NOW, THEREFORE, in consideration of the mutual agreements contained herein and <br />subject to the terms and conditions stated below it is agreed by the parties, pursuant to this <br />Second Amended Contract, as follows: <br />1. Professional Services To Be Performed: Outside Counsel shall assist the Director of <br />Law in matters relating to labor negotiations with the City's bargaining units, particularly <br />regarding mediation, fact - finding and conciliation, as well as other proceedings, including the <br />prosecution and defense of unfair labor practices and grievance arbitrations that are related to <br />labor- management subjects relevant to the City's current labor negotiations. <br />2. Time of Performance: The services of Outside Counsel shall commence as of the <br />e ff etive da4e of this Cent. aet, February 24, 2004 and conclude, unless this contract is <br />authorized for renewal by City Council, no later than the date upon whieh the 200 l.,be <br />end. December 31, 2005. <br />3. Payment of Fee: The City shall pay to Outside Counsel, and Outside Counsel agrees to <br />accept as full payment for the professional services furnished under this Contract, an amount of <br />.. .... <br />2 <br />
