BY: Mayor O'Grady <br />CITY OF NORTH OLMSTED <br />ORDINANCE NO. 2005 - 104 <br />AN ORDINANCE AUTHORIZING THE DIRECTOR OF LA W TO <br />RETAIN OUTSIDE COUNSEL TO ASSIST THE CITY OF NORTH <br />OLMSTED IN MATTERS RELATING TO THE PROPOSED TRANSFER <br />OF THE CABLE FRANCHISE OF ADELPHIA CLEVELAND, LLC TO <br />TIME WARNER NY CABLE LLC, AND DECLARING AN EMERGENCY. <br />WHEREAS, Article V, Section 2 of the Charter provides that the Director of Law, <br />with the approval of City Council, may retain the services of outside counsel, where necessary <br />and appropriate, to assist in the performance of the duties of office; and <br />WHEREAS, the Director of Law has requested that this Council approve the retention <br />of special counsel to assist the City in the proposed transfer of the City's cable franchise from <br />Adelphia Cleveland, LLC to Time Warner NY Cable LLC; and <br />WHEREAS, the Director of Law has selected the Law Firm of Walter & Haverfield <br />LLP, which is a Cleveland law firm with a national reputation for telecommunications law <br />expertise; and <br />WHEREAS, the City previously utilized the services of said Law Firm in 2001 in the <br />transfer of the City's cable franchise from Ameritech New Media, Inc. to WideOpenWest <br />Ohio LLC; and <br />WHEREAS, it is accordingly the desire of this Council to approve the retention of <br />special counsel to assist the City in matters relating to said cable franchise transfer, as <br />recommended by the Director of Law; <br />NOW, THEREFORE, BE IT ORDAINED BY THE COUNCIL OF THE CITY OF <br />NORTH OLMSTED, COUNTY OF CUYAHOGA, AND STATE OF OHIO: <br />SECTION 1: That the Director of Law is hereby authorized to retain the services of <br />the Law Firm of Walter & Haverfield, LLP, to provide special counsel services for the City in <br />matters relating to the transfer of the City's cable franchise from Adelphia Cleveland, LLC to <br />Time Warner NY Cable LLC. <br />SECTION 2: That the Mayor be and is hereby authorized to enter into a contract with <br />the Law Firm of Walter & Haverfield, LLP, to provide such special counsel services. Said <br />contract shall be in the form and substance as approved by the Director of Law, with only such <br />
