CITY OF NORTH OLMSTED <br />RESOLUTION NO. 2005 — 59 <br />BY: Mayor O'Grady <br />A RESOLUTION AUTHORIZING THE MAYOR OF THE CITY OF <br />NORTH OLMSTED TO ENTER INTO A RENEWED SERVICE <br />CONTRACT, FOR A SIX -MONTH PERIOD COMMENCING ON JULY <br />1, 2005 AND CONCLUDING ON DECEMBER 31, 2005, WITH ACS <br />GOVERNMENT SYSTEMS, INC. IN ORDER TO PROVIDE <br />MAINTENANCE SUPPORT FOR THE CURRENT PAYROLL, <br />BUDGET AND ACCOUNTING SOFTWARE SYSTEM OF THE <br />FINANCE DEPARTMENT. <br />WHEREAS, the new Munis financial accounting system is not fully operational, and <br />maintenance support is needed on the current payroll, budget and accounting software system to <br />ensure adequate support through the remainder of the year 2005; and <br />WHEREAS, ACS Government Systems is the sole provider of said maintenance support <br />services; and <br />WHEREAS, this expenditure is subject to neither the competitive bidding provisions of <br />the City Charter nor to the City RFP ordinance; and <br />WHEREAS, it is accordingly the desire of this Council to authorize the Mayor to enter <br />into a renewed service contract for a six -month period with ACS Government Services, Inc. to <br />provide the said maintenance support services required by the Finance Department as set forth <br />above; <br />NOW THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF <br />NORTH OLMSTED, COUNTY OF CUYAHOGA AND STATE OF OHIO: <br />SECTION 1: That the Mayor be and he hereby is authorized to enter into a renewed <br />service contract with ACS Government Systems for the six -month period from July 1, 2005 <br />through December 31, 2005, in order to provide maintenance support services for the payroll, <br />budget and accounting software programs currently used by the Finance Department, which <br />renewed contract shall be in the form and substance of the attached 3 -page Customer Support <br />Agreement ( "CSA "), marked as Exhibit A and attached hereto, with only such changes to be <br />hereinafter made as are not substantially adverse to the City and which are approved by the <br />Director of Law. The character of any such changes as not being substantially adverse to the <br />City shall be evidenced conclusively by the execution of the Agreement by the Mayor and the <br />approval of the Agreement by the Director of Law. <br />
