APage 1 of 3 A c s CUSTOMER SUPPORT AGREEMENT (CSA) This Support Agreement is made by and between ACS Government Systems, Inc. with principal offices at 1733 Harrodsburg Road, Suite 100, Lexington, Kentucky 40504, (hereinafter referred to as "ACS ") and Organization Name, Address and Telephone Number: City of North Olmsted 4200 Dover Center RD North Olmsted OH 44070 440 / 777-8000 LICENSEE hereby orders and ACS hereby agrees to provide Customer Support on the following Licensed ACS PACE Suite of Government Application product(s) and annual Initial Support Fees: PACE Finance $ 2,262.40 PACE Payroll $ 1,261.90 PACE PP Direct Deposit $ 633.81 PACE PP Vendor Check $ 333.20 PACE Purchase Order Printing $ 379.90 Customer Support will be provided as described in ACS CUSTOMER SUPPORT AGREEMENT TERMS AND CONDITIONS, for the following annual Initial Support Fee during the following Initial Coverage Period: Interim Support Fee: $ 2,435.61 (6/12!' of $4,871.22) Interim Coverage Period: 07/01/05 — 12/31/05 (6 months only to cover during change -over to new software) * *ACS may prorate the above annual support fee and coverage period so that it provides support through the 'common date° on which all other CSA's are established to renew. At that time, this CSA along with all others will automatically renew and be extended for 12 months. ACS reserves the right to increase the annual fee. THE CUSTOMER ACKNOWLEDGES THAT HE/SHE HAS READ THIS AGREEMENT, THE TERMS AND CONDITIONS OF WHICH ARE SET FORTH IN THE ACS CUSTOMER SUPPORT AGREEMENT TERMS AND CONDITIONS, UNDERSTANDS IT AND AGREES TO BE BOUND BY ITS TERMS AND CONDITIONS. FURTHER, THE CUSTOMER AGREES THAT IT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN THE PARTIES WHICH SUPERSEDES ALL PROPOSALS OR PRIOR AGREEMENTS, ORAL OR WRITTEN, AND ALL OTHER COMMUNICATIONS BETWEEN THE PARTIES RELATING TO THE SUBJECT MATTER OF THIS AGREEMENT.
