WHEREAS, the completed pilot testing has demonstrated that the City of North Royalton,
<br />Ohio bas the ability to dispose of the biosolids stabilized by the North Royalton, Ohio
<br />Sludge Composting Facility when processing biosolids generated by the City of North
<br />Royalton, Ohio wastewater treatment facilities and the City of North Olmsted. Ohio
<br />wastewater treatment facilities; and
<br />WHEREAS, the City of North Royalton and North Olmsted thereafter entered into a series
<br />of interim agreements that provided, during the period December 5, 2001, through
<br />December 31, 2004, for North Olmsted to dispose of biosolids from its Wastewater
<br />Treatment Plant at the North Royalton Sludge Composting Facility, pending final Ohio
<br />EPA approval; and
<br />WHEREAS, effective October 7, 2004, Ohio EPA has provided final approval that enables
<br />the parties to enter into a more permanent agreement providing for stabilization and
<br />disposal of biosolids from North Olmsted to the North Royalton facility; and
<br />WHEREAS, the City of North Royalton does not desire at this time to enter into an
<br />agreement with North Olmsted with a term exceeding one -year, and has proposed an eight
<br />percent increase this year in the fees it charges the City of North Olmsted; and
<br />WHEREAS, the City of North Olmsted desires to enter into a one -year agreement with the
<br />City of North Royalton, but also desires to be free under the agreement to dispose of its
<br />biosolids elsewhere if it may do so in a more cost efficient manner; and
<br />WHEREAS, the City Council of the City of North Olmsted, Ohio, has adopted Resolution
<br />No. 2005 - , on , 2005, authorizing its Mayor, subject to approval
<br />of the City Board of Control, to enter into a contract with the City of North Royalton in
<br />this matter; and
<br />WHEREAS, the City Council of the City of North Royalton, Ohio, has adopted Resolution
<br />No. , on , 2005, authorizing its Mayor to enter into a
<br />contract with the City of North Olmsted in this matter; and
<br />WHEREAS, the Board of Control of the City of North Olmsted, Ohio met on
<br />, 2005, as required by the Charter of the City of North
<br />Olmsted, Ohio and, upon the recommendation of the Director of Public Service, approved
<br />this Agreement with the City of North Royalton, Ohio; and.
<br />NOW, THEREFORE, in consideration of the foregoing recital and the covenants and
<br />agreements of the parties herein set forth, the parties do agree as follows:
<br />SECTION 1 — TIME PERIOD
<br />A. The term of this Agreement shall one -year, from be January 1, 2005 through
<br />December 31, 2005.
<br />B. The term of this Agreement may be extended beyond December 31, 2005, for a
<br />definite period or periods of time, upon the mutual agreement of the City of North
<br />Royalton. Ohio and the City of North Olmsted, Ohio.
