RIGHT OF ENTRY AND EASEMENT FOR THE <br />MAINTENANCE OF TRAFFIC CONTROL EQUIPMENT <br />(I,We) ZS:, ? C ? ? ? ? ,: tj ? ? ?. ??'?,?-- (;- , 3? ;; 3the <br />Grantor herein, for valuable consideration received and to be received to (my, our) full <br />satisfaction, do hereby grant and convey to the City of North Olmsted, a political <br />subdivision of the State of Ohio and Grantee herein, the perpetual right-of-entry and <br />easement for the purposes hereinafter mentioned in the following described premises (the <br />"Premises"): <br />Situated in the City of North Olmsted, County of Cuyahoga, State of Ohio, known <br />as being part of the Original Ot M 5tgA Township Lot No. <br />, and bounded and described as follows: <br />`A copy of the legal description is attached hereto as Exhibit "A" <br />and made a part hereof as if fully written herein. <br />Grantor and Grantees agree that all references to either party in this instrument shall <br />include that party and the party's heirs, administrators, successors and/or assigns. <br />In consideration of the mutual covenants contained herein, the Grantor hereby <br />grants and conveys unto the Grantee the right and easement to enter upon the premises to <br />install and maintain therein traffic control equipment or to do any other thing which the <br />Grantee deems to be necessary or advisable in order to operate or maintain said traffic <br />control equipment in accordance with the ordinances, rules and regulations of the Grantee <br />which are now in effect or may be adopted hereafter, and as further specified below. <br />Grantor shall, at its own expense, install such traffic control equipment in <br />conjunction with development of its retail establishment, to wit, a traffic signalization <br />loop detector, as well as any and all traffic control equipment related thereto. Further, in <br />the event that Grantee exercises this right-of-entry for inspection and maintenance of said <br />equipment, Grantor shall be solely responsible for and bear the entire financial cost of <br />any inaintenance, repair or replacement of said equipment, including any and all <br />excavation or restoration work related thereto. <br />Should Grantor fail or refuse to cooperate with Grantee's inspection and <br />maintenance requirements, Grantee reserves the right-of-entry and easement to perform <br />the maintenance, repair or replacement of said equipment, at Grantors sole expense. <br />Grantee reserves the authority to disconnect the traffic signalization loop detector in the <br />event of malfunction, pending Grantor's payment or performance of maintenance, repair <br />or replacement <br /> <br />
