? NEO I SO <br />Section 2.3. Performance of Related Staffing or Assistance. <br />(a) Requirement to Provide Related Staffing or Assistance. NEOSO will provide the <br />Governmental Entity any staffing or assistance related to an Offering Addendum <br />as mutually agreed upon by the Governmental Entity and NEOSO and as set forth <br />on each Offering Addendum. NEOSO will comply with all laws, rules and <br />regulations applicable to its performance of these services under (i) this <br />Agreement, (ii) the Membership Agreement, and (iii) each Offering Addendum. <br />(b) Manner of Provision of Related Staffing or Assistance. NEOSO will provide <br />related staffing or assistance to the Governmental Entity under this Agreement <br />and under any Offering Addendum in accordance with its Code of Regulations. <br />Section 2.4. Vendor Compensation. NEOSO has no liability to pay any coinpensation <br />to any Vendor for Products provided to the Governmental Entity under any Available Contract. <br />Article III <br />The Governmental Entity <br />Section 3.1. Governmental Entitv Representations. The Governmental Entity makes <br />the following representations: <br />(a) It is a political subdivision, duly organized and validly existing under the laws of <br />Ohio. <br />(b) It has performed all acts required of it as a condition to signing and delivering this <br />Agreement. <br />(c) It is not in violation of any laws of Ohio to an extent that would impair its ability <br />to carry out its obligations under this Agreement. <br />(d) It has the power to enter into and perform its obligations under this Agreement. <br />(e) Its Council has duly authorized the signing, delivery, and performance of this <br />Agreement. <br />( fl The individual signing below on behalf of the Governmental Entity is an <br />Authorized Representative. <br />Section 3.2. Process for Acquiring Products. <br />(a) Procurement and Negotiation of Available Contracts.
