<br />E-Gov Software Agreement

<br />tinlc, inc., 4303 Hamilmn Avenue, Cincinnati, Qhiu 45223 (hereinafier referred to as "E-Gnv Ginl,") and City of North
<br />Olmsfed (hereina(ler refnrred to as "Customer"), and whose primary address is 5200 Dnver Ccnter kd., North Olmstcd,
<br />OH 44070.
<br />I. E-Gm Lirtk ugrees to provide the soffivare and services described on the attached Schcdule A in consideration of
<br />the fees dcscribed in Schedule A. Any additional services shail be prn+dded iiir fees as xereed in tivritine by
<br />Cus[omer, and shall be made suojcct to this Agreement.
<br />2. CustDmcr udcnowledges they are receiving only a limited lieense to use ihe 5oftNVme and related documentation, if
<br />any, and shall obtain no titlc, ownership nor any other rights in or tn the Soft«•are and related documentatiou, all
<br />nf which titlc wid righis shali remeih with EC: Lin4:.
<br />3. Customer agmes thnt [his license is ]imited Lo applicaticros for its own use. Custcnner may no[ rem or lease the
<br />Software nor ofCer fls use lor others.
<br />4. This license shall bc in forcc for a tcrm as dcfined in Scttedule A and may be renewed for subsequent terms as
<br />specified. Hosting and software maintenance will terminate if paymenls arc noi reccived by L-C Linl: as specified.
<br />Upon terminaiion, GC L.ink n•ill discortinue services under ihis agrecmcnt and wiq provide Cuslomcr with a?
<br />elcctronic copy of all of Cuslomcr's data.
<br />5. EC Link will host [he application for Customcr and will provide Customer wit1l "bug" fixes and key user support.
<br />EC Link agrees 1u use commercially reasonable efforts to correcl any soRware bugs that are reported and co I:CCp
<br />thc website fimctioning. Downtime or operational issues which may arise ???hich EC Link makes such correetire
<br />eii'atts sha11 not be deemed a default hereunder.
<br />6. Each party hereby agrees to maintain tho cDnfider.tisllty of the other puKy's proprietary [nforma[ion and rnaterials,
<br />including but not limited to, all inionnation, knowledgc or data not generally availahlc to thc public which is
<br />acquircd in connection wiUi this Agrcemen[, unless disclosure is required by law. Each party hereby agrecs not to
<br />copy, duplicace, or transcribe any coniidential documents of the other party excopt as requ;rcd in connection voth
<br />their pcrformatice under tliis Agrcemenc EC Link may use contraetors in the developmcnt and support of'the
<br />produet. 1F contractors are used, [hcn EC Link w•ill use reasonable cfforts ro insure that the contractors maintain
<br />the conLdcntiality of propriett+ry materials and infonnation.

<br />actions ngatnsr 1he licenre :lgreement, Dlhe»rise, Cuscomer's damages under this Agreement shall be limited to
<br />the fees pnid for services undcr this Agreerncnt.
<br />8, CustomeT aulhorizes EC Link to announce 2he highlights of lhis agreement, via a press rclcase, or via promotional
<br />matcrials such as sales broctiures or wcbsite, chut dcscribe the services that EC Link has agreed to providc. No
<br />confidential materials that Customer provides to EC Link will be rcleased. Website will includz a srnall link in the
<br />footer (or anorher inconspieuous place), that indicafes that Lhe site was created and is hosted by C-Gov C.ink, and
<br />iinks back to lhe E-Gov Link home pagc.
<br />9. This Agreement is and remorns.rubjecl lo Customer's approprialion ojfi+ndr in accordance ividT law goverrting
