RF.VOCABLE LICENSE AGREEMENT THIS AGREEMENT, made at North Olmsted, Ohio, this day of 52007, by and between the City of North Olmsted, an Ohio municipal corporation ("City"), and the North Olmsted School District, an Ohio School District ("School District"); WHEREAS, the School District has requested the City grant it permission to place Eagle Pride banners on CEI poles located in the right-of-way areas of Burns and Butternut Ridge Roads; and WHEREAS, the School District has obtained permission from CEI to place the said banners on designated poles located in said right-of-way areas; and WHEREAS, City Council adopted Resolution 2007 - , on , 2007, authorizing the Mayor to enter into an Agreement with the School District that would permit the School District to place Eagle Pride banners on CEI poles located in the City's right of way and further permitting the City to participate in the project; and WHEREAS, the parties desire to and by these presents intend to delineate and determine the rights, obligations, duties and liabilities of each; NOW THEREFORE, in consideration of the foregoing premises and the mutual promises hereinafter set forth, the parties agree as follows: 1. The City grants the School District a limited revocable license to place sixty (60) inch by thirty (30) inch, nylon-reinforced with vinyl Eagle Pride banners on designated CEI poles located in City right-of-way areas on Burns and Butternut Ridge Roads. Said license shall be effective commencing upon the date of execution of this Agreement by the City and School District. 2. This Revocable License Agreement shall continue in effect from year to year until such time as the City, for any reason whatsoever, shall terminate the license. In the event of such action, the City shall give the School District thirty (30) days advance notice of its decision to terminate the license. 3. The parties agree that, while this License is in effect, the City shall be responsible for installing and removing the Eagle Pride banners on the designated CEI poles in the City's right-of- way along Burns and Butternut Ridge Road, at no cost to the School District. The School District shall be responsible for providing the banners and the necessary hardware for installation of the banners on the CEI poles, at no cost to the City. Unless otherwise requested by the School District, and so long as it is practicable to do so, the City shall install such banners during the week before ihe school year begins and shall take the banners down during the week following the last football game of the said school year. Likewise, unless otherwise requested by the School district, and so long as it is practicable to do so, the City shall re-install the banners on the CEI poles during the week of Spring Break during the school year, and shall take the banners down thereafter during the week
