NOW, THEREFORE, in consideration of the mutual agreements contained herein and <br />subject to the terms and conditions stated below it is agreed by the parties as follows: <br />1. Professional Services To Be Performed: Outside Counsel shall assist the Director of <br />Law in matters relating to labor negotiations with the City's bargaining units, particularly <br />regarding mediation, fact-finding and conciliation. <br />2. Time of Performance: The services of Outside Counsel shall commence as of the date <br />of execution of this Contract, and conclude no later than the date upon which the 2004 labor <br />negotiations and any subsequent dispute resolution proceedings with the City's bargaining units <br />end. <br />3. Payment of Fee: The City shall pay to Outside Counsel, and Outside Counsel agrees to <br />accept as full payment for the professional services furnished under this Contract, an amount of <br />money not to exceed the total or aggregate sum of Thirty Thousand Dollars ($30,000). That sum <br />shall be paid intermittently on the basis of statements rendered by Outside Counsel to the City at <br />the following rates: <br />(a) Attorney Gary Johnson -$205. per hour; <br />(b) All other firm attorneys -$175. per hour. <br />for work actually performed for the City, either in or out of court or other proceedings. <br />4. Status of Outside Counsel: The status of Outside Counsel under this Contract shall be <br />that of a licensed attorney at law, providing professional legal services to the City under this <br />Contract, and Outside Counsel shall not be considered an employee of the City for any purpose. <br />5. Charter. Citv Code and Ordinances: This Contract shall be subject to the provisions of <br />the Charter, the City Code and all Ordinances of the City of North Olmsted. <br />2
