Regulations of the City - <br />The rights and privileges granted to the successful Proposer hereunder shall at all times <br />be subject to reasonable rules and regulations of the City as the same are now or may <br />hereafter be prescribed through the lawful exercise of its power. <br />XII. Familiarity And Compliance With Laws and Ordinances. <br />The Proposer agrees to make itself aware of and comply with all local, state and <br />federal ordinances, statutes, laws, rules and regulations applicable to the System and <br />any and all work performed in accordance with this RFP. The Company further agrees <br />that it will at all times during the term of this Agreement be in compliance with all <br />applicable federal, state and/or local laws regarding employment practices. Such laws <br />will include, but shall not be limited to workers' compensation, the Fair Labor <br />Standards Act (FLSA), the Americans with Disabilities Act (ADA), the Family and <br />Medical Leave Act (FMLA) and all OSHA (Occupational Safety and Health <br />Administration) regulations applicable to the work. <br />XIII. Basis for Acceptance/Conflict of Interest <br />In submitting the Proposer represents that the Proposal is made in good faith without <br />fraud, collusion or connection of any kind with any other Proposer for the same work; <br />that the Proposer is competing solely on its own behalf without connection or <br />obligation to any undisclosed person, firm or corporation; that no other person, firm <br />or corporation will have any interest in the contract; that no officer, agent or employee <br />of the City is financially interested in the contract; that the Proposer is fully informed <br />in regard to all provisions of the RFP, including and without limitation the <br />specifications, the time for performance and the provisions with respect to <br />performance bond or other security, if any. This paragraph shall not be interpreted to <br />exclude or in any manner prohibit the submission of proposals from two or more <br />firms wishing to submit a joint proposal in response to this RFP, provided such <br />Proposal is so designated. <br />XIV. Relationships Between Proposers <br />Two or more Proposers may combine to submit a joint proposal in response to this <br />RFP. 4ne of the Proposers must be designated as the Prime Proposer. The City <br />requires single point responsihility for the entire project. Subcontractors may be used <br />but the prime contractor, (i.e., successful Proposer), must accept full responsibility far <br />the subcontractor's performance. Provided, however, that Proposer may not <br />subcontract any work unless: (1) Proposer so designates in Proposal or (2) City <br />approves in writing. All subcontractors must be identified by the Proposer and the <br />Proposer must describe the type of contractual arrangement that will exist with a11 <br />subcontractors. The successful Proposer shall be responsible for meeting all the terms <br />of the Coiltract resulting from this RFP. This provision is designed to ensure an <br />integrated and comprehensive system. <br />
