' City 'of North Olmsted, Ntll xxx xxxx _ 5 <br />AGREEMENT <br />between <br />CITY OF NORTH OLMSTED <br />and <br />xxx xxxx <br />This agreement made the day of June, 2004 on behalf of City of North Olmsted, <br />Ohio, a municipal corporation duly organized under the laws of the State of Ohio, <br />having its offices at City Hall, City of North Olmsted, 5200 Dover Center Road <br />North Olmsted, OH 44070-3129 (hereinafter referred to as "CITY") and xxx xxxx., a <br />corporation duly organized under the Laws of the State of , and authorized <br />to sell in the State of Ohio. xxx xxxx has its principal offices at <br />(hereinafter referred to as "VENDOR"). <br />WITNESSETH: <br />WHEREAS, CITY has established the need for a computer system which includes the <br />operating systems software, application software, products and services consistent with <br />and in compliance with a certain Request for Proposal released RFP DATE; and <br />WHEREAS, in response to said Request for Proposal, VENDOR submitted a proposal <br />dated , 2004; and <br />WHEREAS, after careful evaluation CITY has determined that, due to its background <br />and expertise, VENDOR is highly qualified to provide the aforesaid products and <br />services, and CITY is desirous of entering into a contract with VENDOR to provide <br />same; and <br />WHEREAS, VENDOR stands ready, willing and able to provide said products and <br />services as stipulated in VENDOR's proposal, and in accordance with the terms, <br />conditions and provisions of this Agreement; and <br />WHEREAS, the products and services contemplated by this Agreement constitute an <br />inextricable integration of sophisticated technical skills which are uniquely related to <br />the physical components of the system: <br />NOW, THEREFORE, IT IS MUTUALLY AGREED BY AND BETWEEN <br />THE PARTIES HERETO AS FOLLOWS: <br />Prepared by Barry SCrock Consulting Associates, Inc.
