Public Safety, a criminal convictions background check on himself and all employees of <br />said Instructor, so employed for the purpose of or expected to perform the contractual <br />obligations set forth herein. The City reserves the right ta cancel and render this <br />Agreement void, ab initio, if in the judgment and the sole discretion of the Director of <br />Fublic Safety, the inspection of criminal records is either not satisfied or the Instructor's <br />history is deemed unacceptable. Instructor hereby acknowledges that the failure of this <br />condition precedent, for any reasons cited hereinabove, shall render the Agreement void, <br />without recourse or claim by the Instructor. <br />SECTION 10. INSURANCE <br />10.1 The CONTRAC'TOR sha11 comply with all workers' compensation laws of <br />the State of Ohio and shall carry at least the following minimum private insurance <br />caverage: <br />a. General Liability and Comprehensive Automobile Liability Insurance in an <br />amount not less than One Million Dollars ($1,000,000.00 aggregate) for <br />injuries, including those resulting in death, to any personal and properry <br />damage. Said insurance shall be anaintained in full force and effect during <br />the life of this Agreement and shall protect the CQNTRACTOR„ its <br />employees, agents, and representatives from c3aims for damages for <br />personal injury and wrongful death and for damages to property arising in <br />any manner from the negligent or wrongful acts, errors or omissions of the <br />CONTRACTOR, its employees, agents or representatives in the <br />performance of the services under this Agreement. <br />b. Professional Liability Insurance in an amount of $1,000,000 aggregate shall <br />be carried by the CONTRACTOR to provide coverage for any errors, <br />omissions or negligence by CONTR.ACTOR, and its employees, agents, <br />and representatives. Subcontractors of the CONTRACTOR who are <br />manifestly not providing professional services need not carry Professionai <br />Liability Insurance. <br />10.2 Certificates showing the CONTRACTOR is carrying all of the above <br />described insurances in at least the above specified minimum amounts shall be furnished to <br />the CITY before the CITY is obligated to make any payment to the CONTR.ACTOR for <br />any services rendered by CONTRACTOR under this Agreement.
