r <br />CITY OF NORTH OLMSTED <br />RESOLUTION NO. 2004 - 40 <br />BY: Council Member Kasler <br />A RESOLUTION AUTHORIZING THE MAYOR OF THE CITY OF <br />NORTH OLMSTED TO ENTER INTO A RENEWED SERVICE <br />CONTRACT, FOR A TEN-MONTH PERIOD COMMENCING ON <br />MARCH 1, 2004 AND CONCLUDING ON DECEMBER 31, 2004, <br />WITH ACS GOVERNMENT SYSTEMS, IN ORDER TO PROVIDE <br />MAINTENANCE SUPPORT FOR THE CURRENT PAYROLL, <br />BUDGET AND ACCOi1NTING SOF7'WARE SYSTEM OF THE <br />FINANCE DEPARTMENT. <br />WHEREAS, it is necessary to provide annual maintenance support for the Payroll, <br />Budget and Accounting software programs currently used by the Finance Department; and <br />WHEItEAS, ACS Government Systems is the sole provider of said maintenance support <br />services; and <br />WHEREAS, it is not necessary to competitively bid the renewal of the City's service <br />contract with ACS because the expenditures to be made under the proposed renewed contract <br />will not exceed $25,000.00, and it is not necessary to conduct an IZFP procedure because the <br />services involved are not "personal services;" and <br />N'HEREAS, it is accordingly the desire of this Council to authorize the Mayor to enter <br />into a renewed service contract for a ten-month period with ACS Government Services to <br />provide the said maintenance support services required by the Finance Department as set forth <br />above; <br />NOW THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF <br />NORTH OLMSTED, COUNTY OF CUYAHOGA AND STATE OF OHIO: <br />SECTION 1: That the Mayor be and he hereby is authorized to enter into a renewed <br />service contract with ACS Government Systems for the ten-month period from March 1, 2004 <br />through December 31, 2004, in order to provide maintenance support services for the payroll, <br />budget and accounting software programs currently used by the Finance Department, which <br />renewed contract shall be in the form and substance of the attached Revised Renewal Letter, <br />marked as Exhibit A and attached hereto, with only such changes to be hereinafter made as are <br />not substantially adverse to the City and which are approved by the Director of Law. The <br />character of any such changes as not being substantially adverse to the City shall be evidenced <br />conclusively by the execution of the Agreement by the Mayor and the approval of the Agreement <br />by the Director of Law. <br />
