SECTI4N 4. TERM OF AGREEMENT 4.1 The term of this Agreement is from the day of , 2004 thraugh the day of , 2006, subject to the provzsions of Section 9 regarding early termination. SECTION 5. AMOIINT AND METHOD OF PAYMENT. 5.1 For services provided under Section 1. Basic Services, payment shall be made in accordance with Exhibit B attached hereta Additional consideration of Three Hundred ($300.00) Dollars to be paid by CONTRACTOR to the CITY upan execution hereof. 52 The CONTRACTOR covenants and agrees to pay all persons and corparations, including employees, subcontractars, materialrnen, agents, and all other working in active concert with such persons or corporations, who furnish materials or render services in connection with the performance of this Agreement. SECTION 6. CHANGES 6,1 The CITY may, at any tima, by written order, make changes wittun the generai scope of this Agreement in the SERVICES to be performed. 6.2 If snch changes cause an increase or decrease in the CONTRACTOR's cost of, ar time required for, performance of services required under this Agreement, an equitabie adjustment shall be made, and this Agreement shail be madified in writing accordingly, subject to any requirements of the Iaws of the City of North Olmsted, Ohio. 63 CONTRACTOR shall not submit change orders, and shall not be entitled to additional cornpensation, for ac3ditional work resulting from conflicts, errors, or discrepancies, if such was discovered, or reasonably discoverable, by CONTRACTOR prior to the time it entered into this Agreement. -3-
