flood or other natural disasters, acts of the government (other than acts of the Cities of North Olmsted and/or North Royalton), riots, strikes, war or civil disorders. B. Any controversy or claim arising out of or relating to the grovision of this Interim Agreement, or the breach thereof, shall be settled by arbitration at the electian of either party in accordance with the Rules of the Amencan Arbitration Association of Cleveland, Ohio, and judgement upon the award rendered by the arbitrators may be etrtered in any court having jurisdiction thereof. Under such azbitration, each pa,rty shall be entitled to full discovery without need to resort to Chapter 2711 of the Ohio Revised Code, or other statutory procedure. The arbitration shall be held in Cuyahoga Courny, Ohio. Mediation of the claim sha11 be attempted prior to arbitration. Demand for arbitration upon any claim of either party ansing under this Agreement shall be made, if at atl, no later than two yeacs following the date upon which the claim arises. SECTION V- MONTHLY IIWOICES AND MQNTHI.Y PAYMENTS A. The City of North Olmsted, Ohio agrees and binds itself to pay to the City of North Royalton, Ohio the consideration of $23.66 per wet ton of North Utmsted Wastewater Treaiment Plant biosolids processed by the City of North Royalton, Ohio through the City of North Royalton, Ohio Sludge Composting Facility. B. The City of North Olmsted, Ohio agrces and binds itself ta deliver weigh tickets to the City of North Royatton, Ohio zderrtifying the wet ton weight of the North Oimsted Wastewater Treatment Plant biosolids in each biosolids container transported and delivered to the City of North Royalton, 4hio Sludge Composting Facility by the City of North Olmsted, Ohio. C. The City of North Royaltan, Ohio agees and binds itself to provide the City of North Olmsted, Ohio a monthly invoiee and a bitting summary by the fifth of each month for the tatal wet ton weight of the North Olmsted Wascewater Treatment Plant biosalids processed through the City of North Royalton, 4hio Sludge Composting Facility the previous month. D. The Crty of North Cllmsted, Ohio agrees and binds itself to complete a review of each montlily City of North Royalton, Ohio invoice submitted to the City of North Olmsted, Ohio for the total wet ton weight of the North Gllmsted Wastewater Treatment Plant biosolids processed through the City of North Royaltun, Ohio Sludge Composting Faeility within five (S) calendar days after receivin$ ea.ch monthly City of North Royattan, 4hio invoice. E. The Cfty of Narth Olmsted, Ohio agrees and binds itself to pay the City of North Royalton, Ohia for the total wet ton weight of the North Olmsted Wastewater Treatment Plant biosolids processed through the City of Noirth Royalton, Ohio Sludge Compasting Facility within ten (10) calendar days after completing the review of each motrthly City of North Royalton, Ohio invoice. The City of North Olmsted shall have the duty to appropriate sufficient funds each year that this Agreement is in effect to meet its obligations hereunder. F. Upon ninety (90) days advance written notice to the City of North Olmsted, and only with the authonzation of its City Council, the City of North Royalton shali have the right to modify the cost per wet ton it charges to the City of North Olmsted 4
