"Y WHEREAS, through the RFP (Request for Proposal) process, the CTTY has determined that CONTR.ACTOR is the fum most qualified to provide the City with the GEOTECHNICAL SERVICES needed for the PROJECT at a price which is fair and reasona.ble to the CITY; NOW THEREFORE, the CITY and CONTRACTOR, each acknowledging the sufficiency of the consideration contained in the terms and conditions of the Agreement, agree as follows: SECTION 1. BASIC SERVICES. 1.1 The services to be performed by CONTRACTOR under this Agreement sha11 be the GEOTECHr1ICAL 5ERVICES required for the PROJECT. 1.2 T'he scope and details of the services are more fully described in Exhibit I and Exhibit IV, Scope of Services, attached hereto and made a part hereof. SECTION 2. ADDITIONAL SERVICES. 2.1 No additional services are expected to be required by CONTRACTOR for the PROJECT. However, sho2,ild the providing of any additional services become necessary, any such additional required services will be separate from the Section 1- Basic Services, and will be considered an Optiona.l Service that may be undertaken only upon written autharization by the CITY. SECTION 3. CITY'S RESPONSIBILITIES. 3.1 The CITY shali do the following in a timely manner: 3.1.1 Designate a CITY representative having the authority to give to CONTRACTOR instructions, recezve information, define the CITY'S policies and make decisions with respect to the PROJECT. 3.1.2 Provide a11 criteria and information needed by CONTRACTOR regarding the CITY'S requirements for the PROJECT, including design objectives and constraints, space and capacity requirements and budgetary limitations. 3.1.3 Furnish to CONTRACTOR, as needed, copies of all design and construction standazds, which the CITY requires for the PROJECT. 2
