5.3 The CONTRACTOR covenants and agrees to pay all persons and corporations, including its employees, subcontractors, materialmen, agents, and all other working in active concert with it, who furnish materials or render services in connection with the performance of this Agreement. SECTION 6. CHANGES 6.1 The CITY ma.y, at any time, by written order, make changes within the general scope of this Agreement in the services or work to be performed. 6.2 If such changes cause an increase or decrease in the CONTR.ACTOR's cost of, or time required for, performance of required services under this Agreement, an equitable adjustment shall be made, and this Agreement shall be modified in writing accordingly, subject to any requirements of the laws of the City of North Olmsted, Ohio. 6.3 CONTRACTOR shall not submit change orders, and shall not be entitled to additional compensation, for additional work resulting from coziflicts, errors, or discrepancies, if such was discovered, or reasonably discoverable, by CONTRACTOR prior to the time it entered into this Agreement. SECTION 7. DISPUTES 7.1 Except as this agreement otherwise provides, all cla.ims, counterclaims, disputes and other controversies between the CITY and CONTRACTOR arising out of, or relating in any manner, to this Agreement shall be decided by arbitration in Cuyahoga County, State of Ohio, if the pa.rties hereto mutually agree, or otherwise only in a court of competent jurisdiction within Cuyahoga County, State of Ohio. SECTION 8. SUSPENSION OF WORK 8.1 The CITY may order the CONTRACTOR to suspend, delay, or interrupt all or any part of the work for such period of time as the CITY may determine to be appropriate for the convenience of the CITY. 8.2 If the performance of all or any part of CONTRACTOR's services are for an unreasonable period of time suspended, delayed, or interrupted by an act of the CITY, or by the 4
