Contractual Agreement Between the Ohio Department of Public Safety/ Ohio Traffic Safety Office (OTSO) And North Olmsted Police Department 27243 Lorain Road North Olmsted, Ohio 44070 (440) 777-3535 This agreement, hereinafter referred to as "Agreeinent", is made by and between the Ohio Department of Public Safety/OTSO, hereinafter referred to as "ODPS", and North Olmsted Police Department, hereinafter referred to as "the Independent Contractor", and is surject to the following terms and conditions. TERM : This Agreement is to be effective from receipt of a purchase order through June l, 2009. Work shall not commence until receipt of a purchase order. ODPS may renew this Agreement by giving written notice prior to expiration, contingent upon appropriation of such funds by the Ohio General Assembly. Such renewal sYzall begin at the start of the next biennium and shall not extend beyond the expiration of the biennium in which the renewal commences. Invoices postmarked after June 1, 2009 will not be considered for payment by the ODPS. STATEMENT OF WORK: A. The Independent Contractor shall tuldertake the work and activities described in the Scope of Work, labeled Exhibit 1, attached. Exhibit 1 is made a part of this Agreement and incorporated by reference as if fully rewritten. The Independent Contractor shall perform the services under this Agreement, and the ODPS shall not hire, supervise, or pay any assistants to the Independent Contractor in its performance under this Agreement. The ODPS shall not be required to provide any training to the Independent Contractor to enable it to complete worlc under this Agreement. The Independent Contractor shall furnish its own support staff, materials, tools, equipment, and other supplies necessary to complete the work under this Agreement, unless stated elsewhere in this Agreernent. B. The hadependent Contractor declares that it is engaged as an independent business and shall furnish professiona] services performed according to applicable commercial standards. Neither the Independent Contractor nor its personnel shall, at any time or for any purpose under this Agreement, be considered as employees or agents of the ODPS or the State of Ohio. The h7dependent Contractor shall detennine the hours required to perfonn the services to be provided under this Agreement, and retains discretion over its schedule when performing services on the premises of the ODPS, subject to the ODPS's normal business hours and security requirements. C. The Independent Contraetor agrees to comply with all applicable federal, state, and local Iaws in performing the worlc under this Agreement. The Independent Contractor accepts ful] responsibility for the payment of ail taxes, and the ODPS and the State of Ohio shall not be liable for any taxes under this Agreement. ?
