AGREEMENT FOR LABOR NEGOTIATOR SERVICES THIS AGREEMENT is made and entered into between the CITY OF NORTH OLMSTED ["City"], a municipal corporation of the State of Ohio, acting by and throug;h its Mayor, and the Law Finn of Johnson, Miller & Schmitz LLP ["Labor Negotiator"], whose address is 1700 North Point Tower, 1001 Lalceside Avenue, Cleveland, Ohio 44114. WHEREAS, the City has a need for a labor negotiator for the next cycle of collective bargaining for City collective bargaining agreements having terms that end in either the year 2008 or 2009; and WHEREAS, City's Council, pursuant to Ordinance 2008-120, has authorized the Mayor to enter into a new contract with Labor Negotiator providing for the latter to serve as the City's labor negotiator in connection with the renewal or modification of the City's collective bargaining agreements which have terms ending in either the year 2008 or 2009; NOW, THEREFORE, in consideration of the proinises set forth, the City and Labor Negotiator agree as follows: 1. Scope of Seivices. Labor Negotiator shall serve as the Mayor's designated Labor Negotiator in negotiating renewals or modifications of the City's collective bargaining agreements that have tenns ending in 2008 or 2009. The labor negotiator assigned to provide the services called for in this Agreement shall be Gary Johnson, unless otherwi se requested and authorized by City. The Mayor shall be the representative of the City to accept or give any request, approval, notice or the like under this Agreement. 2. Tenn of Agreement. The tenn of this Agreement shall from the date of executioli of this Agreement until to the date upon which the Mayor executes the last new collective bargaining agreement for the City collective bargaining agreeinents with ternis ending in either 2008 or 2009. 3. Confidentiality of Infoi7nation. Labor Negotiator shall retain in strictest confiderice all inforniation fiirnished Uy the City and the results of any reports or studies conducted as a result of this Agreement, along with all supporting worlc papers and any other substantiating documents. Labor Negotiator shall not disclose such infonnation to others without the prior written consent of the Mayor. 4. Compensation. The City shall coinpensate Labor Negotiator for services perfornled under this Agreement as described in Exhibit A attached and incotporated by this reference. The compensation for Labor Negotiatot provided by this Agreement is entire and complete. Labor Negotiator is not to receive and will not receive any other compensation in connection with this Agreement.
