t <br />CITY OF NORTA OLMSTED <br />RESOLUTION NO. 2008 - 91 <br />BY: Mayor O'Grady <br />A RESOLUTION AUTHORIZING THE MAYOR TO ENTER INTO A <br />TWO-YEAR CONTRACT WITH THOMSON-WEST FOR THE <br />PURPOSE OF PROVIDING WESTLAW ONLINE LEGAL <br />RESEARCHSERYICES FOR THE CITYLAW DEPARTMENT, AND <br />DECLARING AN EMERGENCY, AS AMENDED. <br />WHEREAS, it is necessary that the City Law Department be provided with on- <br />line legal research services far the purposes of conducting legal research for and <br />providing legal counsel to the Mayor, Members of Council, Administrative Officials, and <br />the Boards and Commissions of the City; and <br />WHEREAS, there are two primary vendors available to provide said online legal <br />research services to the City Law Department-Westlaw and Lexis-Nexis; and <br />WHEREAS, the Director of Law recommends that the City Council authorize the <br />Mayor to enter into a two-year contract with Thomson-West to provide said Westlaw <br />online legal research services to the Law Department; and <br />WHEREAS, this expenditure, being under $25,000 and not involving persorial <br />services, is subject to neither the Charter's competitive bidding requirement nor the <br />City's RFP ordinance; and <br />NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CI'lY <br />OF NORTH OLMSTED, CUYAHOGA COUNTY, AND STATE OF OHIO: <br />SECTION 1: That the Mayor be and he hereby is authorized to enter into a two- <br />year contract with Thomson-West for the purpose of providing online legal research <br />services to the City of North Olmsted Law Department. Said contract shall be <br />substantially in the form and substance of attached Exhibit A, with only such changes <br />therein as are not substantially adverse to the City and which are approved by the <br />Director of Law. The character of any such changes as not being substantially adverse tc <br />the City shall be evidenced conclusively by the execution of the agreement by the Mayor <br />and the approval of the agreement by the Director of Law.
