Resolution No. 2000-59 <br />Page 2 <br />NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY <br />OF NORTH OLMSTED, CUYAHOGA COUNTY AND STATE OF OHIO: <br />Section 1: The Council hereby approves the Transfer Application and the <br />Transfer to Adelphia or to any wholly-owned affiliate of Adelphia as described in the <br />Transfer Application and Merger Agreement; and the Council acknowledges that no <br />further consent is required for the transfer of the Franchise to any affiliate company under <br />common control with or controlled by Adelphia. <br />Section 2: The Council hereby acknowledges that (i) the Franchise is in full force <br />and effect on the date hereof; and (ii) the current term of the Franchise will expire on <br />October 17, 2011 subject to options in the Franchise, if any, to extend such term. <br />Section 3: The Council's grant of the Transfer Application and its consent to the <br />Transfer to Adelphia herein provided shall be effective immediately, and Adelphia shall <br />notify the Council promptly upon the closing of the transactions described in the Merger <br />Agreement. <br />Section 4: That this Resolution is hereby declared to be an emergency measure <br />immediately necessary for the preservation of the public health, safety and welfare, and <br />for the further reason that, in order to have effect, this Resolution must, pursuant to <br />applicable federal law governing the transfer of cable television franchises, become <br />effective prior to June 4, 2000, and further provided it receives the affirmative vote of <br />two-thirds of all members of Council, it shall take effect and be in force immediately <br />upon its passage and approval by the Mayor. <br />.? <br />l <br />PASSED: a040 <br />?- _ <br />/j I-??----- <br />$arbara L.
